All equipment items listed in this Purchase Order shall be delivered to the Almaty Regional Health & Rehabilitation Center premises located at 42 Abai Avenue, Kazakhstan Almaty, within fourteen (14) calendar days from the date of written acceptance of this Purchase Order. The assigned Physiotherapist shall commence clinical duties no later than 1 July 2025. Installation, calibration, and safety certification of all therapeutic equipment must be completed and documented prior to the first patient session. The supplier shall coordinate all logistics within the Kazakhstan Almaty municipal boundaries and bear all transportation and insurance costs until the goods are received and signed for by the Buyer's logistics officer.
Payment for this Purchase Order shall be structured as follows: a 30% advance payment (KZT 1,937,376) shall be remitted within five (5) business days of mutual signature. The remaining 70% (KZT 4,520,544) shall be paid in two equal installments: 50% upon successful delivery and installation of all equipment, and 50% upon completion of the first full month of Physiotherapist clinical services, subject to satisfactory performance review. All payments shall be made via bank transfer to the account specified in Section 1. Invoices must reference Purchase Order number KZ-ALM-2025-04782 and be submitted in both Kazakh and English to the Buyer's finance department.
6.1 The Physiotherapist engaged under this Purchase Order must hold a valid license issued by the Ministry of Health of the Republic of Kazakhstan and maintain professional liability insurance with a minimum coverage of KZT 50,000,000 per incident.
6.2 All services and equipment must comply with the national healthcare standards of Kazakhstan Almaty and the broader regulatory framework of the Republic of Kazakhstan, including but not limited to the Law on Healthcare and the regulations governing rehabilitation medicine.
6.3 The supplier warrants that all equipment supplied under this Purchase Order is new, free from defects, and carries a minimum manufacturer warranty of twenty-four (24) months from the date of installation.
6.4 The Buyer reserves the right to terminate this Purchase Order with thirty (30) days' written notice if the Physiotherapist fails to meet the agreed-upon clinical performance benchmarks or if the supplier breaches any material term herein.
6.5 Any disputes arising from this Purchase Order shall be resolved through arbitration in Kazakhstan Almaty in accordance with the rules of the Almaty International Arbitration Center. The governing law shall be the civil legislation of the Republic of Kazakhstan.
6.6 The supplier shall maintain strict confidentiality regarding all patient data handled by the Physiotherapist in accordance with Kazakhstan's personal data protection laws.
This Purchase Order becomes binding upon signature by both parties. The Buyer acknowledges that the Physiotherapist services and equipment described herein are essential to the continued operation of the rehabilitation wing at the Kazakhstan Almaty facility and that timely execution of this Purchase Order is critical to patient care continuity.
