- This Purchase Order is issued in accordance with the procurement policies of MediCare Wellness Group Sdn. Bhd. and is governed by the laws of Malaysia. All disputes arising from this Purchase Order shall be resolved under the jurisdiction of the courts in Malaysia Kuala Lumpur.
- The Physiotherapist personnel engaged under this Purchase Order must hold a valid registration with the Physiotherapy Board of Malaysia (PBM) and possess a minimum of three (3) years of clinical experience in an outpatient or hospital setting within Malaysia Kuala Lumpur or elsewhere in Malaysia.
- All equipment listed in this Purchase Order must comply with the Malaysian Standard (MS) and be certified by the Ministry of Health Malaysia (MOH) prior to installation at the buyer's facility in Malaysia Kuala Lumpur.
- Delivery of all physical goods shall be made to the buyer's premises at Level 12, Menara KL Sentral, Malaysia Kuala Lumpur, no later than the dates specified in the line items above. Late delivery shall incur a penalty of 0.5% of the affected line item value per calendar day, capped at 10%.
- Payment shall be made via bank transfer to the supplier's designated account within thirty (30) calendar days from the date of receipt of a valid tax invoice. The Purchase Order number must be referenced on all invoices.
- The supplier warrants that all Physiotherapist equipment supplied is new, unused, and free from defects for a period of twenty-four (24) months from the date of installation. Any defective items shall be repaired or replaced at the supplier's sole cost.
- The Physiotherapist services component of this Purchase Order is subject to a one-month probationary period. The buyer reserves the right to terminate the Physiotherapist engagement during this period with seven (7) days' written notice if performance does not meet the agreed clinical standards.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding patient data, proprietary treatment protocols, and commercial terms contained in this Purchase Order. This obligation survives termination for a period of three (3) years.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government directives, or public health emergencies affecting Malaysia Kuala Lumpur.
- This Purchase Order constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior negotiations, representations, or agreements relating to the engagement of Physiotherapist services and the procurement of associated equipment in Malaysia Kuala Lumpur.
