This Purchase Order authorizes the procurement of qualified Physiotherapist professional services to be rendered exclusively within the jurisdiction of Mexico, Mexico City. The selected Physiotherapist personnel must hold a valid professional license issued by the Mexican Ministry of Health (Secretaría de Salud) and be registered with the corresponding Colegio de Fisioterapeutas de la Ciudad de México. All Physiotherapist services shall comply with the NOM-022-SSA3-2012 standard for clinical practice in rehabilitation and physiotherapy, as well as all applicable regulations governing healthcare delivery in Mexico, Mexico City.
The Physiotherapist team shall provide comprehensive assessment, treatment planning, hands-on manual therapy, therapeutic exercise prescription, electrotherapy, hydrotherapy, and patient education. Each Physiotherapist assigned under this Purchase Order must maintain a minimum of five (5) years of post-graduate clinical experience in their respective specialty area. The supervisory Physiotherapist shall conduct bi-weekly performance reviews and ensure that all treatment protocols align with evidence-based practice standards recognized in Mexico, Mexico City.
- This Purchase Order is governed by the Federal Civil Code of Mexico and the commercial regulations applicable in Mexico, Mexico City. Any disputes arising from this Purchase Order shall be resolved through arbitration in Mexico, Mexico City, in accordance with the rules of the Mexican Arbitration Center (CAM).
- The Vendor (Physiotherapist service provider) warrants that all Physiotherapist personnel assigned to this contract are fully licensed, insured, and in good standing with the relevant professional bodies in Mexico, Mexico City. Failure to maintain valid licensure shall constitute grounds for immediate termination of this Purchase Order.
- All Physiotherapist services must be performed at the designated facilities within Mexico, Mexico City as specified in Annex A of this Purchase Order. Relocation of service delivery to any other municipality or state requires prior written approval from the Purchasing Entity.
- Invoicing shall be submitted monthly by the 5th business day. Each invoice must reference this Purchase Order number (MXC-2025-04872) and include the RFC of the issuing entity. Payment will be processed within thirty (30) calendar days of receipt of a valid invoice.
- The Vendor shall maintain professional liability insurance with a minimum coverage of MXN $5,000,000 per occurrence, valid throughout the service period in Mexico, Mexico City. Certificates of insurance must be provided prior to the commencement of Physiotherapist services.
- Confidentiality: All patient records, clinical data, and proprietary treatment protocols generated during the delivery of Physiotherapist services in Mexico, Mexico City shall be treated as strictly confidential and handled in accordance with the Mexican Federal Law on Protection of Personal Data Held by Private Parties (LFPDPPP).
- Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Vendor shall complete all in-progress Physiotherapist treatment plans for affected patients and provide a full clinical handover report.
- Force Majeure: Neither party shall be liable for delays or failures in performance of this Purchase Order resulting from events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or public health emergencies affecting Mexico, Mexico City.
- All deliverables, reports, and clinical documentation produced under this Purchase Order shall be submitted in Spanish, the official language of Mexico, Mexico City, unless otherwise agreed in writing.
- This Purchase Order becomes effective upon signature by both parties and remains valid for the duration specified herein. Amendments to this Purchase Order must be executed in writing and signed by authorized representatives of both parties.
