This Purchase Order is issued to formally request and authorize the engagement of qualified Physiotherapist professionals to deliver comprehensive rehabilitation and physiotherapy services at the Clinique Al Amal Rehabilitation Center, located in the heart of Morocco Casablanca. The scope of this Purchase Order encompasses the provision of certified Physiotherapist personnel, specialized equipment, and ongoing clinical support for a period of twelve (12) months commencing 1 August 2025.

• 4.1 Scope of Engagement: This Purchase Order authorizes PhysioCare Morocco Ltd. to deploy the specified number of Physiotherapist professionals to the Clinique Al Amal Rehabilitation Center in Morocco Casablanca. All Physiotherapist personnel must hold valid professional licenses issued by the Moroccan Ministry of Health and the National Order of Physiotherapists of Morocco.
• 4.2 Service Commencement: All Physiotherapist services shall commence no later than 1 August 2025. The service provider must ensure that all Physiotherapist staff are on-site and fully operational by this date at the designated facility in Morocco Casablanca.
• 4.3 Payment Terms: Payment shall be made in monthly installments within thirty (30) days of receipt of an approved invoice. The total value of this Purchase Order is MAD 2,183,280.00 (inclusive of 20% VAT). Payments shall be processed via bank transfer to the account designated by PhysioCare Morocco Ltd.
• 4.4 Performance Standards: Each Physiotherapist assigned under this Purchase Order must maintain a minimum patient satisfaction score of 85% as measured by quarterly surveys conducted at the Morocco Casablanca facility. Failure to meet this standard for two consecutive quarters shall constitute grounds for replacement of the relevant Physiotherapist at no additional cost to the buyer.
• 4.5 Equipment Delivery: The specialized physiotherapy equipment package (Item 04) must be delivered, installed, and commissioned at the Morocco Casablanca premises within fourteen (14) calendar days of the Purchase Order acceptance date. A 24-month manufacturer warranty applies to all equipment.
• 4.6 Confidentiality and Data Protection: All Physiotherapist personnel engaged under this Purchase Order shall comply with Moroccan Law 09-08 on the Protection of Personal Data. Patient records and clinical data generated at the Morocco Casablanca facility shall remain the exclusive property of the buyer.
• 4.7 Termination: Either party may terminate this Purchase Order with sixty (60) days written notice. In the event of termination, the buyer shall be liable for all Physiotherapist services rendered up to the effective date of termination.
• 4.8 Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Morocco. Any disputes arising from this Purchase Order shall be resolved through the competent courts of Morocco Casablanca.
• 4.9 Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting the Morocco Casablanca region.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the provision of Physiotherapist services in Morocco Casablanca.
