1. Scope of Services: This Purchase Order authorises Cape Physiotherapy & Rehabilitation Centre to provide qualified, SAHPRA-registered Physiotherapist services to Atlantic Health & Wellness Group at its designated facilities in Cape Town, South Africa. All Physiotherapists engaged under this Purchase Order must hold a valid professional registration with the Health Professions Council of South Africa (HPCSA/SAHPRA) and a minimum of five (5) years of post-qualification clinical experience.
2. Commencement and Duration: Services shall commence on 01 July 2025 and continue for a period of twelve (12) months, unless terminated earlier in accordance with Clause 7. The contract is renewable by mutual written agreement no later than thirty (30) days prior to the expiry date.
3. Payment Terms: Invoices shall be submitted monthly by the 5th business day of the following month. Payment shall be made within thirty (30) days of receipt of a valid tax invoice. Late payments shall attract interest at the rate prescribed by the Late Payment of Interest and Costs Act, 1998 (South Africa).
4. Professional Standards: All Physiotherapist services must be delivered in accordance with the Code of Conduct for Physiotherapists as published by SAHPRA, the National Health Act (Act 61 of 2003), and applicable occupational health and safety legislation in South Africa. The Physiotherapist shall maintain full professional indemnity insurance with a minimum cover of R5,000,000.
5. Confidentiality and Data Protection: The Service Provider and all Physiotherapists engaged under this Purchase Order shall comply with the Protection of Personal Information Act (POPIA), 2013 (South Africa). All patient records, treatment plans, and clinical data generated in Cape Town shall be treated as strictly confidential and shall not be disclosed to any third party without written consent from the Purchasing Entity.
6. Performance Standards: The Service Provider shall ensure that a minimum of 95% of scheduled Physiotherapist treatment sessions are completed as planned. Failure to meet this threshold for two consecutive months shall constitute a material breach of this Purchase Order.
7. Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. The Purchasing Entity may terminate immediately for material breach, insolvency, or loss of professional registration by any engaged Physiotherapist.
8. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of South Africa. Any disputes shall be subject to the exclusive jurisdiction of the High Court of South Africa, Cape Town Division.
9. Insurance and Indemnity: The Service Provider shall maintain comprehensive professional indemnity insurance and public liability insurance throughout the term of this Purchase Order. Certificates of insurance shall be provided upon request.
