This Purchase Order is issued by Han River Rehabilitation & Wellness Center Co., Ltd. to procure the services of qualified Physiotherapist professionals and associated clinical equipment for operation at our primary facility located in Gangnam-gu, Seoul, South Korea. The contracted Physiotherapist must hold a valid license issued by the Korean Physiotherapy Association and possess a minimum of five (5) years of clinical experience in orthopedic, sports, or neurological rehabilitation. All Physiotherapist personnel assigned under this Purchase Order shall report to the Seoul-based clinic no later than August 1, 2025, and shall comply with all applicable regulations set forth by the South Korean Ministry of Health and Welfare regarding the practice of physiotherapy in the Seoul metropolitan area.
5. Terms and Conditions- Delivery & Commencement: All Physiotherapist services shall commence on or before August 1, 2025, at the buyer's facility in Seoul, South Korea. Equipment items shall be delivered to the Seoul address listed in Section 1 no later than July 20, 2025.
- Payment Schedule: Payment for this Purchase Order shall be made in three (3) equal installments: 40% upon execution of this Purchase Order, 30% upon commencement of Physiotherapist services, and 30% upon successful completion of the 12-month contract term. All payments shall be made via bank transfer to the supplier's designated account in Seoul, South Korea.
- Compliance: The supplier warrants that all Physiotherapist personnel engaged under this Purchase Order are fully licensed, insured, and in good standing with the relevant South Korean regulatory bodies. Any lapse in licensure shall constitute a material breach of this Purchase Order.
- Confidentiality: All patient data handled by the Physiotherapist in the course of services rendered in Seoul, South Korea, shall be protected in accordance with the South Korean Personal Information Protection Act (PIPA). The supplier shall execute a separate Data Processing Agreement prior to commencement.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the buyer shall pay for all Physiotherapist services rendered up to the termination date.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Korea. Any disputes arising from this Purchase Order shall be resolved through arbitration in Seoul, South Korea, under the rules of the Korean Commercial Arbitration Board (KCAB).
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting the Seoul, South Korea region.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the procurement of Physiotherapist services and equipment in Seoul, South Korea. This document constitutes a binding agreement between the parties upon full execution.
