This Purchase Order is issued by Barcelona Wellness & Rehabilitation Centre S.L. to formally engage the services of a qualified Physiotherapist to deliver in-clinic and on-site rehabilitation treatments to patients within the Spain Barcelona metropolitan area. The Physiotherapist shall provide all clinical services in accordance with the professional standards set by the Col·legi Oficial de Fisioterapeutes de Catalunya and the applicable regulations of the Generalitat de Catalunya. 1. This Purchase Order constitutes a binding agreement between the purchasing entity and the named Physiotherapist for the provision of physiotherapy services exclusively within the Spain Barcelona jurisdiction, unless a written amendment is executed by both parties.
2. The Physiotherapist shall maintain valid professional registration with the Col·legi Oficial de Fisioterapeutes de Catalunya and hold current professional indemnity insurance with a minimum coverage of 600,000 EUR throughout the duration of this Purchase Order.
3. All services shall be performed in compliance with the Ley 41/2002 de Autonomía del Paciente, the Ley Orgánica 3/2018 de Protección de Datos Personales (GDPR), and the specific regulations governing physiotherapy practice in Spain Barcelona.
4. Payment terms: Net 30 days from the date of invoice submission. Invoices shall be issued monthly in arrears and must reference this Purchase Order number (PO-2025-BCN-0472). Payment shall be made via direct bank transfer to the account specified by the Physiotherapist.
5. The Physiotherapist is required to maintain detailed clinical records for each patient session conducted under this Purchase Order. Records shall be stored at the Spain Barcelona facility and made available to the purchasing entity's medical director upon request.
6. Cancellation or modification of scheduled sessions must be communicated a minimum of 48 hours in advance. Cancellations made with less than 48 hours' notice will be billed at 50% of the session fee.
7. This Purchase Order is valid for a period of three (3) months from the date of issue, covering the period from 1 July 2025 to 30 September 2025. Renewal shall be subject to mutual written agreement and a new Purchase Order issuance.
8. Any disputes arising from the interpretation or execution of this Purchase Order shall be resolved through the competent courts of Barcelona, Spain, in accordance with Spanish civil and commercial law.
9. The Physiotherapist shall not subcontract or delegate any clinical duties outlined in this Purchase Order to any third party without prior written consent from the purchasing entity.
10. All patient data processed under this Purchase Order in Spain Barcelona shall be handled in strict accordance with data protection legislation, and no patient information shall be transferred outside the European Economic Area.
