Description of Purchase OrderThis Purchase Order is issued by Nile Valley Rehabilitation & Medical Centre, located in Sudan Khartoum, to formally request and authorize the procurement of qualified Physiotherapist professional services. The purpose of this Purchase Order is to engage a certified and licensed Physiotherapist to provide comprehensive rehabilitation, therapeutic exercise, and patient mobility services at our facility in Sudan Khartoum. The selected Physiotherapist shall be responsible for assessing, planning, and executing individualized treatment programs for patients recovering from orthopedic injuries, post-surgical rehabilitation, neurological conditions, and chronic musculoskeletal disorders. This Purchase Order constitutes a binding agreement between both parties once signed and countersigned, and all terms herein shall be governed by the commercial laws of the Republic of Sudan.

- Acceptance: This Purchase Order shall become effective upon written acceptance by the Supplier within ten (10) business days of the date of issue. Failure to respond within this period shall render this Purchase Order null and void.
- Commencement of Services: The Physiotherapist services shall commence no later than 1 August 2025 at the designated facility in Sudan Khartoum. The Supplier shall ensure that all Physiotherapist personnel are present, fully equipped, and ready to deliver patient care on the first day of service.
- Qualifications and Licensing: All Physiotherapist personnel engaged under this Purchase Order must hold valid professional licenses issued by the Sudanese Medical Specialization Board and must provide copies of their credentials prior to commencing work in Sudan Khartoum.
- Payment Terms: Payment shall be made in monthly installments via bank transfer to the Supplier's designated account. Invoices must be submitted by the 5th of each month for services rendered in the preceding month. Payment shall be processed within thirty (30) days of invoice receipt. All payments are denominated in Sudanese Pounds (SDG).
- Performance Standards: The Physiotherapist team shall adhere to the clinical protocols and patient care standards established by Nile Valley Rehabilitation & Medical Centre. Monthly performance reports must be submitted to the Procurement Director in Sudan Khartoum by the 3rd business day of each month.
- Confidentiality: All patient records, treatment plans, and clinical data handled by the Physiotherapist team in Sudan Khartoum are strictly confidential. The Supplier shall ensure compliance with Sudanese data protection regulations and the facility's internal privacy policies.
- Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice. Upon termination, the Supplier shall return all facility equipment and patient records to the Sudan Khartoum premises within seven (7) days.
- Dispute Resolution: Any disputes arising from this Purchase Order shall first be attempted to be resolved through good-faith negotiation. If unresolved within thirty (30) days, the matter shall be referred to arbitration under the rules of the Sudan Arbitration Centre in Khartoum.
- Governing Law: This Purchase Order and all associated services shall be governed by and construed in accordance with the laws of the Republic of Sudan, with jurisdiction vested in the courts of Sudan Khartoum.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, civil unrest, government sanctions, or pandemics affecting operations in Sudan Khartoum.
All services and equipment under this Purchase Order shall be delivered and performed at the following location: Nile Valley Rehabilitation & Medical Centre, 42 Al-Murad Street, Omdurman District, Sudan Khartoum, Republic of Sudan. The Physiotherapist team shall report to the Rehabilitation Department, Second Floor, and shall coordinate daily schedules with the Head of Clinical Services. Equipment delivery shall be completed no later than 25 July 2025, with installation and calibration supervised by the Supplier's technical team in Sudan Khartoum.
