- This Purchase Order constitutes a binding agreement between Helvetia Corporate Wellness AG (Buyer) and Zurich Physiotherapy & Rehabilitation Center GmbH (Seller) for the provision of Physiotherapist professional services within the canton of Switzerland Zurich.
- All Physiotherapist services shall be performed by qualified, registered Physiotherapists holding a valid Swiss Federal Certificate of Professional Competence (Eidgenössisches Fachausweis) and registered with the Swiss Physiotherapy Association (SBK/SSP).
- The service delivery location for all in-clinic Physiotherapist sessions shall be at Limmatquai 38, 8001 Zurich, Switzerland. On-site Physiotherapist mobile services shall be conducted at the Buyer's premises in Switzerland Zurich as scheduled in the agreed service calendar.
- Payment shall be made via bank transfer to the Seller's designated account within thirty (30) calendar days of receipt of a valid invoice. Late payments shall incur interest at the statutory Swiss rate as defined under the Swiss Code of Obligations (OR).
- The Seller guarantees that all Physiotherapist treatments will comply with the Swiss Federal Act on Medical Professions (Medig) and applicable cantonal regulations in Switzerland Zurich. Full professional liability insurance coverage of no less than CHF 5,000,000 per claim is mandatory.
- Confidentiality: All patient data collected by the Physiotherapist during assessments and treatments in Switzerland Zurich shall be handled in strict accordance with the Swiss Federal Act on Data Protection (revFADP/DSP) and the Swiss Medical Professional Act. No individual employee health data shall be disclosed to the Buyer; only anonymized aggregate reports are permitted.
- Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of early termination, the Buyer shall pay for all Physiotherapist services rendered up to the termination date.
- Disputes arising from this Purchase Order shall be resolved through mediation in Switzerland Zurich. If mediation fails, the competent courts of the canton of Zurich, Switzerland shall have exclusive jurisdiction.
- This Purchase Order is governed by the laws of the Swiss Confederation. The UN Convention on Contracts for the International Sale of Goods (CISG) is expressly excluded.
- Any amendments to this Purchase Order must be made in writing and signed by both parties. Verbal modifications to the scope of Physiotherapist services are not binding.
The Physiotherapist services under this Purchase Order shall commence on 1 July 2025 and conclude on 30 June 2026. The initial physiotherapy assessment phase (Item 01) shall be completed within the first six (6) weeks of the contract period. Ongoing Physiotherapist treatment sessions (Item 02) and on-site mobile services (Item 03) shall be scheduled in coordination with the Buyer's Human Resources department in Switzerland Zurich. The specialized rehabilitation programs (Item 04) will be initiated upon individual referral by the treating Physiotherapist. Quarterly wellness reports (Item 05) shall be delivered by the 15th of the month following each calendar quarter.
