- Governing Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Turkey. Any disputes arising from this Purchase Order related to the provision of Physiotherapist services or equipment in Turkey Istanbul shall be subject to the exclusive jurisdiction of the commercial courts of Istanbul.
- Payment Terms: Payment shall be made in Turkish Lira (TRY) via bank transfer to the supplier's designated account. A 30% advance payment (TRY 313,200.00) is due within 5 business days of acceptance of this Purchase Order. The remaining 70% (TRY 730,800.00) shall be paid in two equal installments: 50% upon delivery and installation of all equipment, and 50% upon successful completion of the 30-day performance guarantee period for the Physiotherapist position and equipment commissioning.
- Delivery and Installation: All equipment items listed in this Purchase Order shall be delivered to the Bosphorus Rehabilitation & Sports Medicine Center premises in Esenyurt, Turkey Istanbul, at the supplier's cost. Installation, calibration, and operator training for the Physiotherapist staff shall be completed no later than 30 July 2025.
- Physiotherapist Qualification Requirements: The Physiotherapist engaged under Line Item 1 must hold a valid license issued by the Turkish Ministry of Health, a degree in Physiotherapy and Rehabilitation from an accredited Turkish university, and a minimum of five (5) years of clinical experience in orthopedic and sports rehabilitation. The supplier shall provide a copy of the Physiotherapist's credentials prior to commencement of services.
- Warranty and After-Sales Support: All equipment shall carry a minimum 24-month manufacturer's warranty. The supplier shall provide on-site technical support within 48 hours of any reported malfunction. The Physiotherapist service contract includes a 14-day replacement guarantee should the assigned professional fail to meet the agreed performance standards.
- Compliance and Regulatory Adherence: The supplier warrants that all equipment complies with the Turkish Medical Devices Regulation (Tıbbi Cihaz Yönetmeliği) and CE marking requirements. The Physiotherapist services shall comply with the Turkish Physiotherapy and Rehabilitation Association (Fizyoterapi ve Rehabilitasyon Derneği) ethical and professional standards applicable in Turkey Istanbul.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding patient data, proprietary treatment protocols, and commercial terms contained in this Purchase Order. This obligation survives termination of the Purchase Order for a period of three (3) years.
- Force Majeure: Neither party shall be liable for delays or failures in performance under this Purchase Order resulting from events beyond reasonable control, including but not limited to natural disasters, government sanctions, or public health emergencies affecting operations in Turkey Istanbul.
- Amendments: Any modification to this Purchase Order, including changes to the scope of Physiotherapist services, equipment specifications, or delivery timelines, must be documented in a written amendment signed by authorized representatives of both parties.
- Validity: This Purchase Order is valid for acceptance within ten (10) calendar days from the date of issue. Failure to accept within this period shall render this Purchase Order null and void.
