- This Purchase Order is governed by the laws of the United Arab Emirates and the specific commercial regulations of Dubai. Any disputes arising from this Purchase Order shall be resolved through the Dubai Courts or, at the Buyer's discretion, the Dubai International Financial Centre (DIFC) Courts.
- The Physiotherapist engaged under this Purchase Order must hold a valid DHA (Dubai Health Authority) professional licence and a UAE Ministry of Health and Prevention (MOHAP) registration prior to commencing any clinical duties in United Arab Emirates Dubai.
- The Supplier (Apex Healthcare Staffing Solutions FZ-LLC) warrants that the Physiotherapist shall comply with all UAE labour law requirements, including but not limited to the UAE Federal Decree-Law No. 33 of 2021 on the Regulation of Labour Relations, and all applicable Dubai municipal health regulations.
- Payment shall be made via bank transfer to the Supplier's designated corporate bank account in United Arab Emirates Dubai within thirty (30) calendar days of receipt of a valid tax invoice. Late payments shall attract interest at the rate of 2% per month as stipulated under UAE commercial law.
- The Supplier shall provide a replacement Physiotherapist of equivalent or superior qualifications within fourteen (14) calendar days should the originally placed Physiotherapist resign, be terminated, or become medically unfit to practise in United Arab Emirates Dubai.
- All physiotherapy treatment plans, patient records, and clinical documentation produced by the Physiotherapist shall remain the exclusive property of the Buyer and shall be maintained in accordance with UAE data protection and patient confidentiality regulations (DHA Privacy Policy and UAE Federal Decree-Law No. 45 of 2021 on Personal Data Protection).
- This Purchase Order is valid for a period of twelve (12) months from the date of acceptance. Renewal shall be subject to mutual written agreement and a new Purchase Order issued by the Buyer.
- The Supplier shall maintain comprehensive professional indemnity insurance covering the Physiotherapist for a minimum sum insured of AED 5,000,000 per claim, valid throughout the term of this Purchase Order in United Arab Emirates Dubai.
- Neither party may assign or transfer its obligations under this Purchase Order without the prior written consent of the other party.
- This Purchase Order, together with its attached schedules, constitutes the entire agreement between the parties with respect to the procurement of Physiotherapist services and supersedes all prior negotiations, representations, and agreements.
