1. Purpose and Scope of This Purchase OrderThis Purchase Order is issued by the Tashkent Regional Health & Rehabilitation Center to formally authorize the procurement of qualified Physiotherapist professional services for delivery and execution within the city of Uzbekistan Tashkent. The scope of this Purchase Order encompasses the recruitment, deployment, and ongoing engagement of certified Physiotherapist personnel to provide inpatient and outpatient rehabilitation services at the buyer's facility located in Uzbekistan Tashkent. All terms, conditions, deliverables, and financial obligations outlined in this Purchase Order shall be governed by the commercial laws of the Republic of Uzbekistan and applicable municipal regulations in Tashkent.

3. Delivery and Performance LocationAll services specified in this Purchase Order shall be rendered exclusively at the buyer's primary rehabilitation facility situated at 42 Amir Temur Avenue, Uzbekistan Tashkent, 100000. The supplier is responsible for ensuring that each Physiotherapist assigned under this Purchase Order reports to the designated location no later than 08:00 AM on the first day of the contract period. Any relocation of the service delivery site within the Tashkent metropolitan area must be communicated in writing at least 14 calendar days in advance and approved by the buyer's procurement office.
4. Payment Terms
Payment for this Purchase Order shall be made in three equal installments of 32,308,000 UZS each, due at the end of Month 1, Month 2, and Month 3 of the service period. Payment will be processed via bank transfer to the supplier's designated account in a licensed Uzbek bank. The supplier must submit a detailed invoice referencing Purchase Order number UZ-TSK-2025-04872 along with a signed timesheet from each Physiotherapist confirming hours worked. Late payments beyond 10 business days shall incur a penalty of 0.5% per day as stipulated under Uzbek commercial law.
5. Qualification and Compliance Requirements
Every Physiotherapist engaged under this Purchase Order must possess a minimum of a Bachelor's degree in Physiotherapy or Physical Therapy from an institution recognized by the Ministry of Higher Education of the Republic of Uzbekistan. Additionally, each practitioner must hold a current, unexpired professional license to practice physiotherapy in Uzbekistan Tashkent and demonstrate proficiency in both Uzbek and Russian languages for effective patient communication. The supplier shall provide copies of all relevant credentials, certificates, and insurance documents prior to the commencement of services. Failure to meet these qualification standards will result in immediate termination of the affected Physiotherapist's engagement without penalty to the buyer.
6. Cancellation and Termination
Either party may cancel this Purchase Order with a written notice of 30 calendar days. In the event of cancellation by the buyer, the supplier shall be compensated for all services rendered up to the cancellation date, including any non-refundable costs already incurred for Physiotherapist recruitment and onboarding in Uzbekistan Tashkent. The supplier may terminate this Purchase Order if payment is overdue by more than 20 business days. All intellectual property, patient records, and clinical data generated during the performance of this Purchase Order shall remain the exclusive property of the buyer.
7. Governing Law and Dispute Resolution
This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Uzbekistan. Any disputes arising from or in connection with this Purchase Order, including the performance of Physiotherapist services in Uzbekistan Tashkent, shall first be subject to good-faith negotiation between the parties. If unresolved within 30 days, the dispute shall be referred to the Arbitration Center of the Chamber of Commerce and Industry of Uzbekistan in Tashkent for binding arbitration.
