- This Purchase Order is issued by Clínica Metropolitana de Rehabilitación for the procurement of Physiotherapist professional services and associated clinical equipment to be delivered and utilized at its primary facility located in Venezuela Caracas. All services and goods referenced herein are subject to the terms stated in this document.
- The Supplier shall ensure that all Physiotherapist personnel assigned under this Purchase Order hold current, valid professional licenses issued by the Colegio de Fisioterapeutas de Venezuela and maintain professional liability insurance with a minimum coverage of USD 500,000 per occurrence.
- Delivery of all physical equipment items (Items 03 through 07 and 10) shall be completed no later than thirty (30) calendar days from the date of this Purchase Order. Delivery location: Av. Francisco de Miranda, Torre Este, Piso 14, Chacao, Venezuela Caracas. The Supplier bears all transportation, customs clearance, and local delivery costs within Venezuela Caracas.
- Physiotherapist professional services (Items 01, 02, and 08) shall commence within fifteen (15) calendar days of the Purchase Order effective date. The Physiotherapist shall report to the Venezuela Caracas facility on a schedule agreed upon in writing between both parties, adhering to the Venezuelan labor regulations governing healthcare professionals.
- Payment shall be made in US Dollars (USD) via wire transfer to the Supplier's designated bank account within thirty (30) days of receipt of a valid invoice. The invoice must reference this Purchase Order number (PO-VC-2025-04871) and include the RIF of the Supplier.
- All equipment delivered under this Purchase Order shall carry a minimum manufacturer warranty of twelve (12) months from the date of installation in Venezuela Caracas. The Supplier shall provide on-site technical support and repair services within forty-eight (48) hours of a reported malfunction.
- The Physiotherapist services are subject to a performance evaluation at the end of each calendar month. Failure to meet the agreed-upon clinical outcomes, patient satisfaction metrics, or attendance requirements may result in a proportional reduction of the monthly service fee or termination of the service contract with thirty (30) days' written notice.
- This Purchase Order is governed by the commercial laws of the Bolivarian Republic of Venezuela. Any disputes arising from this Purchase Order shall be resolved through arbitration in Venezuela Caracas in accordance with the rules of the Centro de Arbitraje de la Cámara de Comercio de Caracas.
- The Supplier warrants that all equipment and materials provided are new, unused, and free from defects. Any Physiotherapist equipment found to be non-conforming upon delivery at the Venezuela Caracas facility shall be replaced at the Supplier's sole expense within ten (10) business days.
- Neither party shall be liable for delays or non-performance caused by force majeure events, including but not limited to natural disasters, government-mandated closures, or civil unrest affecting the Venezuela Caracas metropolitan area. Affected parties must provide written notice within five (5) business days of the event.
