- This Purchase Order (PO-2025-04871) constitutes a binding agreement between the Purchaser and the Plumber supplier for the execution of all plumbing works and supply of materials as described in the line items above, to be performed at the designated property located in Brazil Rio de Janeiro.
- The Plumber shall commence all works no later than 20 June 2025 and shall complete all items within 45 calendar days from the start date, unless otherwise agreed in writing by both parties.
- All materials and workmanship shall comply with the applicable Brazilian National Standards (ABNT NBR 5626, NBR 7198, NBR 15524) and the municipal building regulations of the City of Rio de Janeiro, State of Rio de Janeiro, Brazil.
- The Plumber is required to maintain valid professional registration with CREA-RJ and to carry adequate civil liability insurance (minimum coverage of BRL 500,000) for the entire duration of the project in Brazil Rio de Janeiro.
- Payment shall be made in Brazilian Reais (BRL) via bank transfer (TED/PIX) to the account specified on the Plumber's invoice, within 30 (thirty) calendar days from the date of the approved invoice. Late payments shall accrue interest at the rate of 1% per month plus SELIC index.
- The Plumber shall provide a minimum 5-year warranty on all installed plumbing components and workmanship. Any defects arising within the warranty period shall be repaired at no additional cost to the Purchaser.
- All waste materials generated during the plumbing works in Brazil Rio de Janeiro shall be removed and disposed of in accordance with the environmental regulations of the State of Rio de Janeiro (CONAMA Resolution 307/2002).
- The Plumber shall coordinate with the building's condominium management (Síndico) and obtain all necessary access permits prior to commencing any work on shared infrastructure in the property located in Rio de Janeiro, Brazil.
- This Purchase Order may only be modified or cancelled by mutual written agreement. Any unilateral cancellation by the Purchaser after the Plumber has commenced work shall be subject to a penalty of 10% of the total contract value.
- Disputes arising from this Purchase Order shall be resolved by arbitration in the city of Rio de Janeiro, Brazil, in accordance with the rules of the CAM-CCBC (Câmara de Arbitragem do Centro de Conciliação e Arbitragem do Brasil).
