1. Scope and Compliance: The plumber contractor, HidroSan Plumber Services Ltda., shall execute all plumbing work in strict accordance with the specifications outlined in this Purchase Order, the ABNT NBR 5626 standard for hydraulic installations, and all applicable regulations of the City of São Paulo and the State of São Paulo, Brazil. The plumber must hold a valid ART (Anotação de Responsabilidade Técnica) registration with CREA-SP (Conselho Regional de Engenharia e Agronomia – São Paulo) for the duration of the project.
2. Schedule and Execution: All plumber services shall commence on June 20, 2025, and be completed no later than August 15, 2025. Work shall be performed during standard business hours (08:00–18:00 BRT) on floors 1 through 12. Emergency plumber interventions may occur outside these hours with prior written authorization from the Purchaser.
3. Payment: Payment shall be made via TED (Transferência Eletrônica Disponível) to the supplier's bank account in Brazilian Reais (BRL) within 30 calendar days from the date of invoice issuance. The plumber contractor shall issue a Nota Fiscal (NF-e) for each completed milestone as required by Brazilian tax law (Lei 11.196/2005).
4. Materials and Equipment: All plumbing materials, including pipes, fittings, valves, fixtures, and sealants, shall be supplied by the plumber contractor unless otherwise specified. Materials must meet or exceed ABNT standards and carry the INMETRO certification mark where applicable in Brazil.
5. Warranty: The plumber contractor guarantees all workmanship and installed materials for a minimum period of 12 months from the date of final acceptance. Any plumbing defects discovered within this warranty period shall be remedied by the plumber at no additional cost to the Purchaser.
6. Insurance and Liability: The plumber contractor shall maintain comprehensive liability insurance (Seguro de Responsabilidade Civil) with a minimum coverage of R$ 500,000.00, valid throughout the project duration in São Paulo, Brazil. The plumber shall be solely responsible for any damage to the building structure or adjacent units caused by plumbing work.
7. Health, Safety, and Environmental Compliance: The plumber and all subcontracted workers must comply with NR-35 (work at heights), NR-12 (machinery safety), and all occupational health and safety regulations enforced by the Ministry of Labor in Brazil. All plumbing waste and debris shall be disposed of in accordance with São Paulo municipal environmental regulations (CETESB guidelines).
8. Cancellation and Termination: Either party may cancel this Purchase Order with 15 days' written notice. In the event of cancellation after work has commenced, the plumber contractor shall be compensated for all materials procured and labor performed up to the cancellation date, as documented in a final plumber service report.
9. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federative Republic of Brazil, with jurisdiction vested in the courts of the city of São Paulo, State of São Paulo, Brazil.
