- This Purchase Order constitutes a binding agreement between Shanghai Industrial Facilities Management Co., Ltd. (hereinafter "the Buyer") and Shanghai Golden Pipe Plumbing Services Co., Ltd. (hereinafter "the Plumber Contractor") for the provision of all plumbing services and materials as described in Section 2.
- All work shall be performed in strict compliance with the applicable regulations of the China Shanghai Municipal Government, including but not limited to the Shanghai Municipal Construction Quality Management Regulations and the National Plumbing Engineering Code (GB 50242-2002).
- The Plumber Contractor shall ensure that all personnel assigned to this Purchase Order hold valid Chinese plumbing trade certifications and possess the necessary work permits for operations within the China Shanghai administrative boundary.
- Payment shall be made within thirty (30) calendar days of receipt of a valid VAT invoice (fapiao) issued by the Plumber Contractor. Payment will be processed via bank transfer to the account specified on the invoice.
- The Plumber Contractor warrants that all materials and workmanship shall be free from defects for a period of twenty-four (24) months from the date of final acceptance. Any defects discovered during the warranty period shall be rectified at no additional cost to the Buyer.
- Work shall commence no later than June 20, 2025, and shall be completed in accordance with the milestone schedule attached as Appendix A to this Purchase Order. Delays exceeding five (5) business days attributable to the Plumber Contractor shall incur a penalty of 0.5% of the total Purchase Order value per day of delay.
- The Plumber Contractor shall maintain comprehensive public liability insurance with a minimum coverage of CNY 5,000,000 for the duration of the project, valid within the China Shanghai jurisdiction.
- All hazardous materials handling, including gas piping work, shall follow the safety protocols mandated by the China Shanghai Emergency Management Bureau. The Plumber Contractor shall submit a detailed Safety Management Plan prior to the start of any gas-related work.
- This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising from this Purchase Order shall be resolved through arbitration at the China Shanghai Arbitration Commission (SHIAC) in accordance with its then-current rules.
- Neither party may assign or transfer its obligations under this Purchase Order without the prior written consent of the other party.
