This Purchase Order is issued by Frankfurt Commercial Properties GmbH to engage the services of RheinPlumb Meisterbetrieb GmbH, a licensed and certified Plumber operating in Germany Frankfurt, for the comprehensive renovation, repair, and installation of all plumbing infrastructure within the commercial office building located at Mainzer Landstraße 142, 60329 Frankfurt am Main. - Payment shall be made in three installments: 30% upon signing of this Purchase Order, 50% upon completion of line items 1 through 5, and 20% upon final acceptance and handover of all documentation.
- All payments shall be transferred via SEPA bank transfer to the account of RheinPlumb Meisterbetrieb GmbH (IBAN: DE44 5001 0517 0000 0000 00, BIC: PBNKDEFF) within 14 calendar days of invoice receipt.
- Late payments shall incur interest at the statutory rate under §288 BGB (German Civil Code), currently 8 percentage points above the ECB base rate for business transactions.
- The Buyer reserves the right to withhold up to 10% of each installment as retention (Mögelgeld) until the final acceptance protocol (Abnahmeprotokoll) is signed by both parties.
- Applicable Law: This Purchase Order and all related services shall be governed by the laws of the Federal Republic of Germany. Any disputes shall be subject to the exclusive jurisdiction of the competent courts in Frankfurt am Main, Germany.
- Workmanship Standard: The Plumber guarantees that all work shall be performed in accordance with the current standards of the German Association of Plumbing, Heating, and Air Conditioning (ZVSHK) and all applicable DIN, DVGW, and TRWI norms. All materials must carry the CE marking and, where required, the DVGW certification.
- Permits and Compliance: The Plumber is responsible for obtaining all necessary permits from the City of Frankfurt am Main (Ordnungsamt, Bauaufsichtsamt, and Wasserversorgung Frankfurt) prior to commencing any work. All works must comply with the Hessisches Bauordnung (HBO) and local Frankfurt municipal regulations.
- Insurance: The Plumber shall maintain, at its own cost, full professional liability insurance and construction all-risk insurance (Bauvollversicherung) for the entire duration of the project. Certificates of insurance shall be provided to the Buyer upon request.
- Warranty: The Plumber provides a statutory warranty of 5 years on all workmanship and 2 years on all supplied materials, in accordance with §§634a BGB. The warranty period commences on the date of final acceptance.
- Health and Safety: The Plumber shall comply with all provisions of the German Occupational Safety and Health Act (Arbeitsschutzgesetz), the Construction Site Ordinance (Baustellenverordnung), and the specific safety regulations of the City of Frankfurt. A site-specific safety plan (Sicherheits- und Gesundheitsschutzplan) shall be submitted before work begins.
- Confidentiality: Both parties agree to treat all information exchanged under this Purchase Order as confidential and shall not disclose it to third parties without prior written consent, in accordance with the German Federal Data Protection Act (BDSG) and the EU GDPR.
- Termination: Either party may terminate this Purchase Order with 30 days’ written notice. In the event of termination, the Plumber shall be compensated for all work completed and materials procured up to the date of termination, less any savings to the Buyer.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated shutdowns, or supply chain disruptions affecting the Plumber’s ability to deliver materials in Germany Frankfurt.
