- Governing Law: This Purchase Order shall be governed by and interpreted in accordance with the Civil Code of the Islamic Republic of Iran and applicable commercial regulations of Tehran Province.
- Plumber Qualifications: The Plumber (Mr. Reza Mohammadi) warrants that he holds a valid Master Plumber license issued by the Tehran City Municipality and possesses a minimum of fifteen (15) years of experience in residential and commercial plumbing within the Tehran metropolitan area. All sub-contracted labor must also be licensed and insured.
- Materials: All plumbing materials, including pipes, fittings, valves, and fixtures, shall be of Iranian or internationally certified manufacture and must bear the SQUO (Standards and Quality Organization of Iran) conformity mark. The Plumber shall provide material certificates upon request.
- Work Schedule: All plumbing work shall be performed between the hours of 08:00 and 17:00, Monday through Saturday, in compliance with Tehran municipal noise and construction regulations. No work shall be conducted on Fridays or Iranian public holidays without prior written approval.
- Payment Schedule: Payment shall be made in three installments: 30% upon commencement of work, 40% upon completion of all pipe replacement and installation (Items 2, 3, 5, and 6), and 30% upon final inspection, pressure testing, and acceptance of all work. Payment shall be made via bank transfer to the Plumber's registered account at Bank Melli, Tehran branch.
- Warranty: The Plumber provides a minimum two-year warranty on all labor and workmanship, and a five-year warranty on all installed materials, in accordance with Iranian consumer protection law. Any defects discovered within the warranty period shall be repaired at no additional cost to the Purchaser.
- Insurance and Liability: The Plumber shall maintain comprehensive liability insurance and workers' compensation coverage for all personnel on site. The Plumber assumes full responsibility for any damage to the building structure, adjacent properties, or personal property caused by the plumbing work.
- Permits and Compliance: The Plumber is responsible for obtaining all necessary permits from the Tehran City Municipality, the Tehran Water and Sewerage Company, and the Tehran Gas Distribution Company prior to commencing any work involving water, sewage, or gas lines.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through negotiation, and if unresolved, shall be submitted to the competent courts of Tehran, Iran, or to arbitration under the rules of the Tehran International Arbitration Center.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated shutdowns, or water supply interruptions declared by the Tehran Water Authority.
