- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of Japan, specifically the Civil Code of Japan and applicable Osaka Prefecture municipal regulations. Any disputes arising from this Purchase Order shall be resolved through the Osaka District Court.
- Plumber Qualification: The Plumber and all subordinate technicians assigned to this project must hold valid Nippon Ryoumu Shiken (Japan Plumbing License) and must be registered with the Osaka Prefecture Board of Plumbing Contractors. Proof of licensing shall be submitted prior to commencing work.
- Compliance with Japan Osaka Standards: All materials, fixtures, and workmanship must conform to JIS standards and the specific plumbing codes enforced in Japan Osaka. The Plumber shall obtain all necessary permits from the Chuo-ku, Osaka municipal office before beginning any structural or underground work.

- Change Orders: Any modifications to the scope of work outlined in this Purchase Order must be documented in a written Change Order signed by both parties. No additional work by the Plumber shall be compensated unless authorized in writing by the Buyer's procurement officer.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding the terms of this Purchase Order, the layout of the Japan Osaka facility, and any proprietary information exchanged during the course of the engagement.
- Termination: Either party may terminate this Purchase Order with 14 days' written notice. In the event of termination, the Plumber shall be compensated for all work completed and materials procured up to the date of termination, less any applicable deductions.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for Plumber services to be performed in Japan Osaka. This document constitutes a binding agreement effective from the date of the last signature.
