Terms and Conditions of this Purchase Order

1. This Purchase Order is issued by Nairobi Heights Property Management Ltd. for the procurement of professional Plumber services and associated plumbing materials to be executed at the Nairobi Heights Estate, Muthaiga, Nairobi, Kenya. All work shall be performed in accordance with the Kenya Building and Construction Authority (KBCA) regulations and the National Environment Management Authority (NEMA) guidelines applicable in Kenya Nairobi.
2. The Plumber service provider, Nairobi Pro Plumber Services Ltd., confirms that all technicians assigned to this Purchase Order hold valid plumbing licences issued by the relevant Kenyan regulatory authority and carry adequate professional indemnity insurance coverage of not less than KES 5,000,000.
3. All plumbing materials supplied under this Purchase Order must comply with the Kenya Bureau of Standards (KEBS) and must be new, unused, and of the specifications stated herein. The Plumber contractor shall provide material conformity certificates upon delivery to the Nairobi Heights Estate site.
4. Payment shall be made within thirty (30) calendar days of receipt of a valid tax invoice from the Plumber service provider. Payment shall be processed via bank transfer to the account details specified in the supplier's registration. Late payments shall attract interest at the rate of 2% per month as stipulated under Kenyan commercial law.
5. The Plumber contractor shall complete all works described in this Purchase Order by the required service date of 22nd June 2025. Any delay beyond this date, not attributable to force majeure or the Purchasing Party, shall result in a penalty of KES 5,000 per calendar day of delay.
6. A twelve (12) month warranty on all workmanship and installed materials is provided by the Plumber service provider. During this warranty period, any defects arising from faulty workmanship or defective materials shall be rectified by the Plumber contractor at no additional cost to the Purchasing Party within fourteen (14) days of written notice.
7. The Plumber contractor shall maintain a clean and safe work environment at the Nairobi Heights Estate in compliance with the Occupational Safety and Health Act (OSHA) of Kenya. All workers must wear appropriate personal protective equipment (PPE) at all times while on site in Kenya Nairobi.
8. This Purchase Order is governed by the laws of the Republic of Kenya. Any disputes arising from this Purchase Order shall be resolved through arbitration in Nairobi, Kenya, in accordance with the Arbitration Act, 1995 of Kenya.
9. The Plumber service provider shall not subcontract any portion of the work described in this Purchase Order without prior written consent from the Purchasing Party. Any approved subcontractor shall be bound by the same terms and conditions.
10. All invoices submitted under this Purchase Order must reference the Purchase Order number (KEN-NBO-PLB-2025-0047) and include the supplier's KRA PIN for tax compliance purposes in Kenya Nairobi.
