5. Payment Terms

• Advance Payment (30%): S/ 21,948.00 payable within 5 business days of Purchase Order acceptance via bank transfer to the Plumber contractor's account at Banco de Crédito del Perú (BCP), Cta. Cte. N° 191-1234567-0-12, Lima branch.
• Progress Payment (40%): S/ 29,264.00 payable upon completion of pipe replacement, fixture installation, and tank installation (Items 02, 03, 05, 06), subject to site inspection by the buyer's facilities team in Lima.
• Final Payment (30%): S/ 21,948.00 payable within 10 business days after successful hydrostatic testing, receipt of the Plumber's Certificate of Completion, and delivery of all SEDAPAL and municipal permits for the Lima property.
• Payment method: Bank wire transfer (transferencia bancaria) to the account specified above. Late payments shall accrue interest at the rate established by the Superintendencia de Banca, Seguros y AFP (SBS) of Peru.

6. Delivery and Execution Schedule

• Expected Completion Date: August 15, 2025
• Work Location: Av. Javier Prado Este 4520, San Isidro, Lima, Peru
• Working Hours: Monday to Friday, 07:00 – 17:00 (Lima local time, PET – UTC-5). No work shall be performed on Peruvian national holidays or Sundays without prior written authorization.
• The Plumber contractor shall coordinate all street-level excavation and sidewalk work with the Municipalidad Metropolitana de Lima and obtain the corresponding "Permiso de Ocupación de la Vía Pública" before commencing Item 04.

7. Terms and Conditions

• The Plumber contractor warrants that all work shall be performed in accordance with the National Technical Standards (Normas Técnicas Peruanas – NTP) and the specific plumbing regulations of the city of Lima, Peru. All materials used shall be new, of commercial grade, and carry the appropriate INACAL (Instituto Nacional de Calidad) certification.
• The Plumber shall maintain valid professional liability insurance and workers' compensation coverage (Seguro de Ley) for all personnel working on the Lima site throughout the duration of this Purchase Order.
• A minimum 12-month warranty on all labor and installed materials is provided by the Plumber contractor, commencing from the date of final acceptance. Any defects discovered within the warranty period shall be repaired at no additional cost to the buyer.
• The Plumber contractor is responsible for all permits, inspections, and regulatory filings required by the Municipalidad Metropolitana de Lima, SEDAPAL, and the Peruvian Ministry of Health (MINSA) for the scope of work described herein.
• Any changes to the scope of work must be documented in a written Change Order signed by both parties before execution. Unauthorized modifications to the plumbing system in the Lima building are strictly prohibited.
• This Purchase Order is governed by the laws of the Republic of Peru. Any disputes arising from this agreement shall be resolved through the competent courts of Lima, Peru, or by arbitration at the Centro de Arbitraje y Litigios de la Cámara de Comercio de Lima (CCL), at the option of the buyer.
• The Plumber contractor shall comply with all Peruvian labor laws, including the minimum wage (Remuneración Mínima Vital) and occupational health and safety regulations (Ley N° 29783) for all workers on the Lima site.

8. Acceptance and Authorization

By signing below, both parties acknowledge and agree to the terms, conditions, scope of work, and pricing set forth in this Purchase Order for professional Plumber services to be executed in Lima, Peru. This document constitutes a binding commercial agreement under Peruvian civil and commercial law.
