- Acceptance: This Purchase Order shall become a binding contract upon written acceptance by the Plumber (AquaPro Moscow Plumbing Services LLC) within five (5) business days of the date of issue. Failure to respond within this period shall render this Purchase Order null and void.
- Commencement: The Plumber shall mobilize all personnel, tools, and materials to the project site in Russia Moscow no later than 23 June 2025. All work shall be completed by 15 August 2025 unless otherwise agreed in writing.
- Payment Terms: Payment shall be made in three (3) installments: 30% upon execution of this Purchase Order, 50% upon completion of all installation work and successful pressure testing, and 20% upon final acceptance and handover of the completed plumbing system. All payments shall be made via bank transfer to the account specified by the Plumber.
- Compliance: The Plumber warrants that all work performed under this Purchase Order shall comply with all applicable Russian federal and municipal building codes, GOST standards, and the specific plumbing regulations enforced in Russia Moscow. The Plumber shall obtain and maintain all necessary permits and licenses for the duration of the project.
- Insurance: The Plumber shall maintain comprehensive general liability insurance with a minimum coverage of 10,000,000 RUB and workers' compensation insurance for all personnel engaged in the work. Certificates of insurance shall be provided to the Buyer prior to commencement.
- Warranty: The Plumber provides a minimum twelve (12) month warranty on all labor and materials installed under this Purchase Order. Any defects discovered during the warranty period shall be remediated by the Plumber at no additional cost to the Buyer.
- Site Access: The Buyer shall provide the Plumber with full access to the project site in Russia Moscow between the hours of 08:00 and 18:00, Monday through Friday. After-hours work requires prior written approval.
- Termination: Either party may terminate this Purchase Order with fourteen (14) days' written notice. In the event of termination, the Buyer shall pay the Plumber for all work satisfactorily completed up to the date of termination.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the civil law of the Russian Federation. Any disputes arising from this Purchase Order shall be resolved through arbitration in Moscow, Russia Moscow, in accordance with the rules of the Arbitration Court of the City of Moscow.
- Confidentiality: Both parties agree to maintain the confidentiality of all proprietary information exchanged in connection with this Purchase Order and shall not disclose such information to third parties without prior written consent.
