- Scope of Work: The Plumber, BlueFlow Plumbing & Water Solutions (Pty) Ltd, shall execute all plumbing works as described in Section 2 of this Purchase Order at the property located in Johannesburg, South Africa. The Plumber shall ensure that all workmanship meets or exceeds the standards prescribed by SANS 10400 and the National Building Regulations (Act 79 of 1996) as amended.
- Commencement and Completion: Works shall commence on 23 June 2025 and shall be substantially completed no later than 29 August 2025. The Plumber shall provide a detailed project schedule within five (5) business days of accepting this Purchase Order.
- Payment Schedule: Payment shall be made in three (3) instalments: 30% upon signing of this Purchase Order, 40% upon completion of 60% of the works (as certified by the Buyer's site agent), and the remaining 30% upon final handover, sign-off, and submission of all compliance certificates. Payment shall be made by electronic funds transfer (EFT) to the Plumber's designated bank account within thirty (30) days of receipt of a valid tax invoice.
- Warranty: The Plumber warrants all workmanship and materials for a period of twenty-four (24) months from the date of final completion. Any defects arising within this warranty period shall be rectified by the Plumber at no additional cost to the Buyer.
- Insurance and Compliance: The Plumber shall maintain valid public liability insurance of not less than R5,000,000 and workers' compensation insurance in accordance with the Compensation for Occupational Injuries and Diseases Act (COIDA) of South Africa. The Plumber shall comply with all Occupational Health and Safety (OHS) regulations applicable in Johannesburg, South Africa.
- Permits and Approvals: The Plumber is responsible for obtaining all necessary permits from the City of Johannesburg Metropolitan Municipality and any other relevant authority before commencing any works that affect municipal infrastructure or require building plan approval.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination by the Buyer for cause (material breach, failure to meet deadlines), the Plumber shall be entitled only to payment for work satisfactorily completed up to the date of termination.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of South Africa. Any disputes arising herefrom shall be subject to the exclusive jurisdiction of the courts of Johannesburg, South Africa.
- Confidentiality: Both parties agree to treat all information exchanged in connection with this Purchase Order as confidential and shall not disclose such information to third parties without prior written consent, except as required by South African law.
