1. Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Spain, specifically the Spanish Civil Code (Código Civil) and the Commercial Code (Código de Comercio). Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Madrid, Spain.
2. Licensing and Compliance: The Plumber (Fontanería Madrid Pro S.L.) warrants that it holds a valid and current license to perform plumbing works in the Community of Madrid, issued by the relevant municipal authority (Ayuntamiento de Madrid). All work shall conform to the Reglamento de Instalaciones de Servicios en Edificios (RIS) and the applicable technical standards of the Instituto Español de Normalización (UNE).
3. Insurance: The Plumber shall maintain, at its own cost, a minimum of €1,000,000 in professional liability insurance and €300,000 in workers' compensation insurance (Seguro de Responsabilidad Civil y Seguro de Accidentes de Trabajo) for the entire duration of the works. Certificates of insurance shall be provided to the Buyer prior to commencement of work.
4. Schedule and Delays: The Plumber shall commence work no later than 23 June 2025 and shall complete all services by 11 July 2025. In the event of delay attributable to the Plumber, a penalty of 0.5% of the total Purchase Order value per calendar day of delay shall be deducted from the final invoice, up to a maximum of 10%.
5. Materials and Workmanship: All materials supplied by the Plumber shall be new, of first quality, and compliant with European and Spanish regulations. The Plumber guarantees all workmanship for a period of five (5) years from the date of final acceptance, in accordance with Article 1564 of the Spanish Civil Code.
6. Site Access and Safety: The Buyer shall provide the Plumber with reasonable access to the property at C/ Gran Vía 55, Madrid, during normal working hours (08:00 to 18:00, Monday to Friday). The Plumber shall comply with all occupational health and safety regulations (Ley 31/1995 de Prevención de Riesgos Laborales) and shall ensure that all technicians on site wear appropriate personal protective equipment.
7. Invoicing and Payment: The Plumber shall submit a single consolidated invoice upon completion and acceptance of all works. Payment shall be made within thirty (30) calendar days of receipt of a valid invoice via SEPA bank transfer to the IBAN specified above. Late payments shall accrue interest at the rate established by the Spanish Late Payment Directive (Ley 3/2004).
8. Cancellation: Either party may cancel this Purchase Order with a written notice of fourteen (14) calendar days. In the event of cancellation by the Buyer after work has commenced, the Plumber shall be entitled to compensation for materials already procured and labour already performed, up to a maximum of 15% of the total Purchase Order value.
9. Confidentiality: Both parties agree to treat all information exchanged in connection with this Purchase Order as confidential and shall not disclose it to third parties without prior written consent, in accordance with the Spanish Data Protection Act (LOPDGDD) and the EU General Data Protection Regulation (GDPR).
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the plumbing services to be executed in Madrid, Spain. This document constitutes a binding commercial agreement between the Buyer and the Plumber.
