Terms and Conditions of This Purchase Order
- Delivery Location: All goods and services under this Purchase Order shall be delivered to the Guangzhou Municipal Public Security Bureau Central Depot, 128 Tianhe Road, Tianhe District, China Guangzhou. Delivery must be completed no later than August 1, 2025.
- Payment Terms: Payment shall be made via bank transfer to the Seller's designated account within thirty (30) calendar days of receipt and acceptance of all items listed in this Purchase Order. A 10% retention shall be withheld until the completion of the Annual Maintenance & Calibration Service period.
- Quality Assurance: All Police Officer equipment must comply with the applicable national standards of the People's Republic of China and the specific operational specifications issued by the China Guangzhou Public Security Bureau. The Seller warrants that all items are new, unused, and free from defects for a period of twenty-four (24) months from the date of delivery.
- Compliance & Security: The Seller acknowledges that all equipment procured under this Purchase Order is intended for the exclusive use of authorized Police Officers of the China Guangzhou law enforcement agency. The Seller shall comply with all data security, export control, and public security regulations applicable within the People's Republic of China.
- Inspection & Acceptance: The Buyer reserves the right to inspect all delivered items within fifteen (15) business days of delivery. Any non-conforming items must be replaced or repaired by the Seller at no additional cost within ten (10) business days of notification.
- Warranty & After-Sales: The Seller shall provide a dedicated after-sales support line for all Police Officer equipment for the duration of the warranty period. Response time for critical equipment failures (body armor, radios, body cameras) shall not exceed four (4) hours.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding the terms of this Purchase Order, the quantities procured, and the operational deployment details of the Police Officers in China Guangzhou. Unauthorized disclosure shall constitute a breach of contract.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising from this Purchase Order shall be resolved through the Guangzhou International Arbitration Commission (CIETAC Guangzhou Sub-Commission) located in China Guangzhou.
- Force Majeure: Neither party shall be liable for delays or failures in performance caused by events beyond reasonable control, including but not limited to natural disasters, government directives, or public health emergencies affecting the China Guangzhou region.
- Amendments: No modification to this Purchase Order shall be valid unless made in writing and signed by authorized representatives of both the Guangzhou Municipal Public Security Bureau and the Seller.
