All physical goods specified in this Purchase Order shall be delivered to the receiving facility at 88 Moskovsky Prospekt, Saint Petersburg, 197198, no later than 30 July 2025. The supplier is responsible for all transportation costs, insurance, and handling within the boundaries of Russia Saint Petersburg. The training and certification services (Item No. 10) shall be conducted at the Saint Petersburg Police Academy, 12 Vasilyevsky Island, and must be completed within 60 days of the date of this Purchase Order. The designated Police Officer shall be present for all equipment fitting, calibration, and orientation sessions. Delivery acceptance shall be confirmed in writing by the receiving officer of the Department of Internal Affairs.
Payment for this Purchase Order shall be made in Russian Rubles (RUB) via bank transfer to the supplier's designated account. The payment schedule is as follows: (a) 50% advance payment (133,750.00 RUB) within 10 business days of the signed acceptance of this Purchase Order; (b) 50% balance payment (133,750.00 RUB) within 15 business days following confirmed delivery and written acceptance of all items by the receiving authority. All payments are subject to the applicable Value Added Tax (VAT) rate of 20% as per the Tax Code of the Russian Federation. Late payments shall incur a penalty of 0.1% per calendar day of delay, in accordance with Article 317.1 of the Civil Code of the Russian Federation.
6.1 This Purchase Order constitutes a binding agreement between the Buyer and the Supplier upon signature by both authorized representatives. All terms are governed by the laws of the Russian Federation.
6.2 The Supplier warrants that all equipment and goods supplied under this Purchase Order are new, of original manufacture, and fully compliant with all applicable Russian federal standards (GOST) and regulations pertaining to Police Officer equipment and safety gear.
6.3 The Supplier shall provide a minimum 24-month warranty on all electronic devices (body-worn camera, radio communication device) and a 12-month warranty on all physical equipment (uniforms, armor, helmets, defensive tools). Warranty claims shall be processed within 30 business days of submission.
6.4 The Supplier shall maintain full confidentiality regarding the operational details, deployment locations, and identity of the Police Officer to whom this equipment is assigned. Any breach of confidentiality shall result in immediate termination of this Purchase Order and legal action under Federal Law No. 59-FZ on Personal Data Protection.
6.5 The Buyer reserves the right to inspect all goods upon delivery and to reject any items that do not conform to the specifications outlined in this Purchase Order. Rejected items must be replaced by the Supplier within 14 calendar days at no additional cost to the Buyer.
6.6 Force majeure events, including but not limited to natural disasters, government-mandated closures, or civil unrest affecting the Saint Petersburg region, shall suspend obligations under this Purchase Order for the duration of the event, provided written notice is given within 5 business days.
6.7 Any disputes arising from this Purchase Order shall be resolved through negotiation first, and if unresolved within 30 days, shall be submitted to the Arbitration Court of Saint Petersburg and Leningrad Oblast for adjudication.
This Purchase Order is authorized and approved by the undersigned representatives of both parties. By signing below, each party acknowledges and agrees to all terms, conditions, and obligations set forth in this document for the procurement of Police Officer equipment and services in Russia Saint Petersburg.
