2. TERMS AND CONDITIONS

This Purchase Order constitutes a binding agreement between the Manchester Metropolitan Procurement Authority (hereinafter referred to as the "Buyer") and Northern Guardian Security Services Ltd. (hereinafter referred to as the "Supplier") for the provision of Police Officer services within the United Kingdom Manchester metropolitan region.
The Police Officer engaged under this Purchase Order shall be a serving or retired member of the United Kingdom Manchester Metropolitan Police Service, or a holder of equivalent qualifications recognised under the Police Act 1996 and the Police and Criminal Evidence Act 1984 (PACE).
All services rendered by the Police Officer shall be conducted in strict compliance with the laws of the United Kingdom, the regulations of the United Kingdom Manchester local authority, and the professional code of conduct established by the College of Policing.
The Supplier shall ensure that the Police Officer maintains valid professional indemnity insurance with a minimum cover of £5,000,000 throughout the duration of this Purchase Order.
Payment shall be made within thirty (30) calendar days of receipt of a valid invoice from the Supplier. Invoices must reference this Purchase Order number (MM-PO-2025-04871) and be submitted to the accounts department at Manchester City Hall, United Kingdom.
The Buyer reserves the right to terminate this Purchase Order with fourteen (14) days' written notice should the Police Officer fail to meet the performance standards outlined in the attached Service Level Agreement (SLA).
All personal data processed under this Purchase Order shall be handled in accordance with the United Kingdom General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.
Any disputes arising from this Purchase Order shall be resolved through mediation in Manchester, United Kingdom, before proceeding to the courts of competent jurisdiction in the United Kingdom.
The Supplier warrants that the Police Officer assigned to this contract shall not be subject to any disciplinary proceedings, criminal record, or professional sanction at the time of engagement and throughout the contract period.
This Purchase Order is governed by and shall be construed in accordance with the laws of England and Wales, United Kingdom.

3. DELIVERY AND COMMENCEMENT

The Police Officer shall report for duty at the designated United Kingdom Manchester location specified in the weekly deployment schedule issued by the Buyer. The initial commencement date for services under this Purchase Order is 15 June 2025. All equipment and materials listed in Section 1 shall be delivered to the Manchester City Hall procurement office no later than 12 June 2025 for inspection and acceptance.

4. AUTHORITY AND SIGNATURES

This Purchase Order is issued under the delegated authority of the Manchester Metropolitan Procurement Authority and is valid for the procurement of Police Officer services within the United Kingdom Manchester area. By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this document.
