Terms and Conditions of This Purchase Order

1. This Purchase Order is issued by the New York City Police Department, an agency of the City of New York, United States New York City, and constitutes a binding procurement document under the New York City Administrative Code, Title 18, Chapter 1.
2. All items listed herein are to be delivered to the NYPD Armory at 100 Centre Street, New York, NY 10013, no later than the Required Delivery Date stated above. Late delivery shall subject the vendor to a penalty of 1.5% of the total Purchase Order value per calendar day of delay.
3. All equipment must meet or exceed the specifications established by the NYPD Office of Equipment Standards. The assigned Police Officer or a designated supervisor shall inspect all items upon delivery and sign the receiving manifest. Any item found defective, non-conforming, or damaged shall be returned at the vendor's expense within five (5) business days.
4. Payment shall be made by the City of New York Comptroller's Office within thirty (30) calendar days of receipt of a valid, itemized invoice referencing this Purchase Order number (NYPD-2025-04872). Payment will be issued via electronic funds transfer (EFT) to the vendor account on file.
5. The vendor warrants that all goods are new, unused, and free from liens or encumbrances. A minimum two-year manufacturer's warranty is required on all electronic and mechanical components. The vendor shall provide full warranty support for the duration of the Police Officer's active assignment or the warranty period, whichever is longer.
6. This Purchase Order is subject to the New York City Right to Know Law and may be subject to public disclosure. The vendor acknowledges that all transactions involving the NYPD in United States New York City are subject to audit by the New York City Comptroller and the New York State Attorney General's Office.
7. The vendor shall comply with all applicable federal, New York State, and New York City laws, including but not limited to the New York City Human Rights Law, the Fair Labor Standards Act, and all occupational safety regulations enforced by OSHA.
8. This Purchase Order may not be assigned or transferred without the prior written consent of the NYPD Office of Procurement and Logistics. Any modification to scope, quantity, or pricing must be executed via a written amendment signed by both parties.
9. In the event of a dispute arising from this Purchase Order, the parties agree to resolve the matter through mediation in the jurisdiction of the United States New York City, New York County, before resorting to litigation in the New York State Supreme Court.
10. All equipment procured under this Purchase Order becomes the property of the City of New York upon delivery and acceptance. The Police Officer to whom the equipment is assigned is responsible for its proper care, maintenance, and return upon separation from service.
