1. - Payment Schedule: Payment shall be made in three (3) equal installments of R$ 345.000,00 each, due on the 1st of July 2025, 1st of August 2025, and 1st of September 2025, via bank transfer (TED/PIX) to the supplier’s account as registered in the supplier’s CNPJ.
- Invoice Requirements: The supplier must issue an electronic invoice (Nota Fiscal Eletrônica — NF-e) for each installment, clearly referencing this Purchase Order number (PO-SP-2025-04871) and the specific line items covered. All invoices must be issued under the supplier’s CNPJ registered in São Paulo, SP.
- Compliance with Electoral Law: All expenditures under this Purchase Order are subject to the financial reporting requirements of the TSE. The politician’s campaign committee shall include all transactions in the official campaign finance report (Prestação de Contas) filed with the Electoral Justice. The supplier agrees to provide any additional documentation requested by the Electoral Court or the campaign’s financial auditor.
- Delivery and Acceptance: All physical goods (flyers, t-shirts, materials) must be delivered to the campaign headquarters at Av. Paulista, 1578, São Paulo, SP. - Termination: Either party may terminate this Purchase Order with thirty (30) days’ written notice. In the event of termination, the supplier shall be compensated for all services rendered and goods delivered up to the date of termination, at the rates specified herein.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federative Republic of Brazil, with jurisdiction vested in the courts of the city of São Paulo, State of São Paulo, Brazil.
- Force Majeure: Neither party shall be liable for delays or failures in performance caused by events beyond reasonable control, including but not limited to natural disasters, government actions, or public health emergencies affecting the city of São Paulo.
