This Purchase Order is issued by the Montreal Civic Engagement Coalition (hereinafter referred to as the "Buyer") to Politician Advisory Group Inc. (hereinafter referred to as the "Seller") for the procurement of comprehensive political advisory, campaign strategy, and public engagement services. The services described herein are intended to support the Buyer's upcoming municipal and provincial electoral initiatives within the Canada Montreal metropolitan region. This document constitutes a binding agreement upon countersignature by both parties and shall be governed by the laws of the Province of Quebec and the federal legislation of Canada.

The scope of this engagement encompasses the provision of expert counsel from a seasoned politician and political strategist who shall advise the Buyer on voter outreach, policy positioning, media relations, and coalition-building efforts specific to the Canada Montreal electoral landscape. The Seller warrants that all services shall be delivered in full compliance with the Electoral Act of Canada, the Electoral Financing Act of Quebec, and all applicable municipal bylaws governing political activity in the Canada Montreal area.

TOTAL PURCHASE ORDER VALUE (CAD): $208,350.00

All services under this Purchase Order shall commence on July 1, 2025, and conclude on December 31, 2025, unless otherwise extended by mutual written agreement. Key milestones include: (a) initial strategy presentation to the Buyer's board within 14 days of commencement; (b) delivery of the first polling wave report by August 15, 2025; (c) completion of all media training sessions by October 30, 2025; and (d) final comprehensive campaign report and post-engagement debrief by January 15, 2026. All deliverables shall be produced in both French and English to reflect the bilingual nature of Canada Montreal's civic environment.

Payment shall be made in monthly installments of one-sixth (1/6) of the total Purchase Order value, due within thirty (30) days of the end of each calendar month. The Buyer shall remit payment via electronic funds transfer (EFT) to the Seller's designated account at the National Bank of Canada, Montreal branch. A late payment penalty of 1.5% per month shall apply to any overdue balance. All amounts are stated in Canadian Dollars (CAD) and are inclusive of applicable Goods and Services Tax (GST) at the federal rate of 5% and Quebec Sales Tax (QST) at 9.975%, unless otherwise exempt under the Excise Tax Act or the Quebec Sales Tax Act.

  1. Confidentiality: All information exchanged under this Purchase Order, including voter data, strategic plans, and internal communications regarding the Politician's public positioning, shall be treated as strictly confidential and shall not be disclosed to third parties without prior written consent, in accordance with the Act respecting the protection of personal information in the private sector (Quebec) and the Privacy Act (Canada).
  2. Intellectual Property: All campaign materials, messaging frameworks, and strategic documents created specifically for the Buyer under this engagement shall become the sole property of the Buyer upon full payment. The Seller retains ownership of pre-existing methodologies and proprietary tools.
  3. Compliance with Electoral Law: The Seller represents and warrants that all services rendered shall comply with the Canada Elections Act, the Quebec Election Act, and all municipal regulations applicable to political activity in Canada Montreal. Any violation shall render the Seller liable for resulting fines and penalties.
  4. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered up to the date of termination. The Seller shall deliver all work-in-progress materials within fourteen (14) days of the termination notice.
  5. Dispute Resolution: Any dispute arising from this Purchase Order shall first be subject to good-faith mediation in Canada Montreal. If unresolved within sixty (60) days, the matter shall be referred to binding arbitration under the rules of the Quebec Arbitration Association, seated in Canada Montreal.
  6. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or changes in electoral legislation in Canada or Quebec.
  7. Governing Law: This Purchase Order shall be governed by and construed in accordance with the civil law of the Province of Quebec and the federal laws of Canada applicable in Canada Montreal.

By signing below, both parties acknowledge that they have read, understood, and agree to all terms, conditions, and specifications set forth in this Purchase Order. The Buyer authorizes the Seller to commence the political advisory and campaign strategy services described herein for the Canada Montreal electoral cycle. The Seller confirms its capacity to deliver all services in a professional, lawful, and timely manner.

This Purchase Order (PO No. CM-2025-04871) is valid for a period of ninety (90) days from the date of issue. After this period, the document shall be considered void unless renewed in writing.
