5.1 This Purchase Order is issued by the Office of the Honourable Senator Margaret L. Chen, MPP, a Politician serving the constituents of Vancouver, British Columbia, Canada. All goods and services described herein shall be delivered and performed in accordance with the specifications outlined in this document and any attached appendices.
5.2 The Vendor acknowledges that all materials, communications, and deliverables produced under this Purchase Order are intended for the official use of the Politician's public office and constituency services in Canada Vancouver. No portion of the deliverables may be reproduced, distributed, or repurposed without the prior written consent of the Politician's office.
5.3 Payment shall be made via electronic funds transfer (EFT) to the Vendor's designated Canadian banking institution within thirty (30) calendar days of receipt of a valid invoice referencing this Purchase Order number (VAN-2025-04471). Late payments shall accrue interest at the rate prescribed under the Interest Act of Canada.
5.4 All work performed under this Purchase Order shall comply with the Political Financing Act of British Columbia, the Canada Elections Act where applicable, and all municipal bylaws of the City of Vancouver. The Vendor warrants that all services and goods are procured through legitimate channels and that no portion of the expenditure constitutes an improper political contribution.
5.5 The Vendor shall maintain full confidentiality regarding the Politician's schedule, internal strategy discussions, and any non-public information obtained during the course of this engagement. A breach of confidentiality shall render the Vendor liable for damages and immediate termination of this Purchase Order.
5.6 In the event of a dispute arising from this Purchase Order, the parties agree to first attempt resolution through good-faith mediation in Vancouver, British Columbia, Canada. Should mediation fail, the dispute shall be submitted to binding arbitration under the rules of the British Columbia Commercial Arbitration Centre.
5.7 This Purchase Order is governed by and shall be interpreted in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein. The City of Vancouver, British Columbia, Canada shall serve as the exclusive venue for any legal proceedings.
5.8 The Politician's office reserves the right to modify, cancel, or terminate this Purchase Order in whole or in part upon fourteen (14) days' written notice. In the event of cancellation, the Vendor shall be compensated only for work completed and documented prior to the date of cancellation.
