All items covered under this Purchase Order shall be delivered to the Guangzhou Civic History Museum, No. 2 Yuexiu Park South Road, Yuexiu District, Guangzhou, Guangdong Province, China. The Seller shall coordinate delivery with the Foundation's facilities team no fewer than ten (10) business days in advance. The complete delivery and installation of all items, including the bronze statue of the Politician, the portrait, the digital kiosk, and the archival materials, must be completed no later than August 30, 2025. The Seller bears full responsibility for safe transport within China and assumes all risk of loss or damage until items are formally accepted by the Foundation's receiving officer at the Guangzhou site.

Payment shall be made via bank transfer to the Seller's designated account in accordance with the following schedule: (a) 30% advance payment (CNY 140,854.50) within five (5) business days of mutual signature of this Purchase Order; (b) 50% progress payment (CNY 234,757.50) upon completion of fabrication and prior to shipment from Shenzhen; (c) 20% final payment (CNY 93,903.00) within fifteen (15) business days following successful installation and written acceptance at the Guangzhou venue. All payments are denominated in Chinese Yuan (CNY) and subject to applicable Chinese tax regulations.

The Seller warrants that all items, particularly the bronze statue and oil portrait of the Politician, shall conform to the specifications, reference photographs, and dimensional drawings attached as Appendix A to this Purchase Order. The Foundation reserves the right to inspect and test all deliverables upon arrival in Guangzhou. Any item found to be defective, damaged, or non-conforming shall be repaired or replaced by the Seller at no additional cost within twenty (20) business days of the written notice of non-conformance.

The Seller grants the Foundation a perpetual, non-exclusive license to display, reproduce, and distribute the commemorative items and publications related to the Politician for educational, cultural, and public exhibition purposes within Guangzhou and throughout China. The Seller confirms that all likenesses, photographs, and biographical content used in connection with the Politician have been duly authorized by the Politician's estate or designated representatives in writing.

This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of China. Any dispute arising from or in connection with this Purchase Order shall first be resolved through amicable negotiation. If negotiation fails within thirty (30) days, the dispute shall be submitted to the Guangzhou Arbitration Commission for arbitration in Guangzhou, China. The arbitral award shall be final and binding upon both parties.

This Purchase Order constitutes the entire agreement between the parties with respect to the subject matter hereof. No modification or amendment shall be valid unless made in writing and signed by authorized representatives of both parties. This Purchase Order may not be assigned by either party without the prior written consent of the other. In the event of force majeure, the affected party shall notify the other within five (5) business days, and the delivery timeline shall be extended by a period equal to the duration of the force majeure event.
