- This Purchase Order is issued in accordance with the procurement regulations of the People's Republic of China and the administrative guidelines of China Shanghai's municipal government. All transactions shall comply with the Civil Code of the PRC and applicable local ordinances.
- The Seller acknowledges that all services described herein are rendered in support of a sitting Politician and must adhere to the highest standards of political neutrality, ethical conduct, and transparency as mandated by the China Shanghai Political Affairs Commission.
- All deliverables, reports, and materials produced under this Purchase Order shall be the exclusive property of the Buyer and the designated Politician. No portion of the work product may be reproduced, distributed, or disclosed to third parties without written authorization from the China Shanghai Municipal Government.
- Payment shall be processed via bank transfer to the Seller's designated account in China Shanghai. Invoices must be submitted in triplicate to the Procurement Office, 88 Century Avenue, Pudong, China Shanghai, no later than the 5th business day of each month.
- The Seller guarantees that all personnel assigned to this Purchase Order have completed the mandatory political ethics training and background verification required for engagement with a Politician in China Shanghai. Any breach of confidentiality or ethical standards shall result in immediate contract termination and legal proceedings.
- All public-facing materials, including press releases, event programs, and digital content, must receive final approval from the Politician's office before publication. The Seller shall allow a minimum of 72 hours for review and revision.
- In the event of force majeure, including but not limited to natural disasters, public health emergencies, or government-mandated restrictions in China Shanghai, either party may suspend obligations with 14 days' written notice. The Purchase Order timeline shall be extended accordingly.
- Disputes arising from this Purchase Order shall be resolved through mediation by the China Shanghai Arbitration Commission. If mediation fails, the matter shall be submitted to the People's Court of Pudong New Area, China Shanghai, for adjudication.
- This Purchase Order remains valid for a period of twelve (12) months from the date of issuance. Renewal requires a separate written amendment signed by both parties and approved by the China Shanghai Municipal Finance Bureau.
