TERMS AND CONDITIONS
- This Purchase Order is issued by the campaign office of the Politician Hon. María Elena Restrepo Valdés, candidate for Mayor of Bogotá, and constitutes a binding commitment to procure the goods and services listed herein in accordance with Colombian commercial law (Código de Comercio de Colombia, Decreto 410 de 1971).
- All goods and services shall be delivered to the designated address in Colombia Bogotá on or before the stated delivery date. Late delivery beyond 48 hours without prior written authorization from the Buyer's procurement team shall result in a penalty of 2% of the affected line-item value per day of delay.
- The Vendor warrants that all printed materials bearing the Politician's image, name, and campaign branding shall comply with the regulations established by the Consejo Nacional Electoral (CNE) of Colombia regarding electoral advertising, including size limits, placement restrictions, and content requirements applicable in the city of Bogotá.
- Payment shall be processed via bank transfer to the account specified above within thirty (30) calendar days of receipt of a valid invoice (factura electrónica) issued in compliance with the DIAN (Dirección de Impuestos y Aduanas Nacionales) electronic invoicing regulations of Colombia.
- The Vendor shall provide a detailed delivery manifest for each shipment to the campaign offices in Colombia Bogotá. The Buyer's logistics coordinator shall inspect all items upon receipt and sign the delivery note. Any discrepancies must be reported within 24 hours of delivery.
- All intellectual property rights related to the campaign design elements (logos, slogans, color palette) remain the exclusive property of the Politician's campaign. The Vendor shall not reproduce, distribute, or use these materials for any other purpose without express written consent.
- This Purchase Order is governed by the laws of the Republic of Colombia. Any disputes arising from this document shall be resolved by the competent commercial courts of Bogotá, D.C., Colombia. The parties agree to attempt mediation before initiating any judicial proceedings.
- The Vendor confirms that all personnel assigned to this contract in Colombia Bogotá are properly registered with the Colombian social security system (Pensión, Salud, ARL) and that all applicable labor regulations are being observed.
- This Purchase Order may be modified only by mutual written agreement signed by both parties. No verbal modifications shall be considered valid. Any change in scope, quantity, or delivery schedule must be documented in a formal amendment to this PO.
- The Vendor shall maintain full confidentiality regarding the Politician's campaign strategies, donor information, and internal communications. Breach of confidentiality shall entitle the Buyer to seek damages under Colombian civil law.
- All materials produced under this Purchase Order shall bear the required CNE registration code and the campaign's official identification number as mandated for electoral communications in Bogotá, Colombia.
