- Scope of Work: The Supplier shall deliver all goods and render all services as specified in this Purchase Order to the Politician's designated office premises in the Al-Mansour District, Baghdad, Iraq. All items must meet the quality standards outlined in the attached technical specifications (Annex A).
- Delivery Schedule: All physical goods must be delivered, installed, and inspected within the timelines stated in the line items above. Failure to meet delivery deadlines shall result in a penalty of 0.5% of the affected line item value per day of delay, up to a maximum of 10%.
- Payment: Payment shall be made via bank transfer to the Supplier's registered account within Baghdad, Iraq, within thirty (30) calendar days of receipt of a valid tax invoice and successful inspection of delivered goods or completion of services. The Politician's office finance department must approve all invoices prior to disbursement.
- Warranty: All hardware and equipment shall carry a minimum two-year manufacturer's warranty. The Supplier shall provide on-site technical support in Baghdad for the duration of the warranty period, with a response time not exceeding twenty-four (24) hours.
- Compliance: The Supplier warrants that all goods and services comply with the laws of the Republic of Iraq, including but not limited to the Iraqi Standards and Metrology Organization (ISM) regulations, data protection requirements, and anti-corruption statutes. The Politician's office reserves the right to audit the Supplier's records upon reasonable notice.
- Confidentiality: Given the sensitive nature of the Politician's legislative and public duties, the Supplier and all its subcontractors shall maintain strict confidentiality regarding all information, communications, and operational details encountered during the performance of this Purchase Order. A breach of confidentiality shall constitute grounds for immediate termination and legal action under Iraqi law.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Supplier shall be compensated only for goods delivered and services rendered up to the termination date, subject to inspection and approval by the Politician's office.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Iraq. Any disputes arising hereunder shall be resolved through the competent courts in Baghdad, Iraq.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from circumstances beyond reasonable control, including but not limited to acts of war, civil unrest, government sanctions, or natural disasters affecting the Baghdad region.
