Terms and Conditions

1. This Purchase Order is issued by the Office of the Honorable Politician, Hon. Koffi Adjoua N'Guessan, for the procurement of goods and services necessary for legislative and constituency activities in Abidjan, Ivory Coast. All items listed herein are subject to acceptance by the Politician's designated procurement officer upon delivery.
2. The vendor, Société Ivoirienne de Services Politiques (SISP), acknowledges that all goods and services shall be delivered to the Politician's office located at Boulevard VGE, Plateau, Abidjan, or to such other location within the Abidjan metropolitan area as may be specified in writing by the issuing authority.
3. Payment shall be made in West African CFA Francs (XOF) via bank transfer to the vendor's designated account within thirty (30) calendar days of receipt of a valid invoice and confirmed delivery of all line items. Late payments shall accrue interest at the rate prescribed by the Ivorian Commercial Code.
4. All goods must be free from defects, and all services must be performed in a professional and timely manner. The Politician's office reserves the right to reject any item or service that does not conform to the specifications outlined in this Purchase Order. Rejected items must be replaced or corrected at the vendor's sole expense within five (5) business days.
5. This Purchase Order is governed by the laws of the Republic of Côte d'Ivoire (Ivory Coast) and the applicable provisions of the Ivorian Public Procurement Code. Any disputes arising from this Purchase Order shall be resolved through the competent courts of Abidjan, Ivory Coast, or by arbitration in accordance with the rules of the Ivorian Arbitration Chamber.
6. The vendor warrants that it holds all necessary licenses, permits, and registrations to operate in Abidjan and throughout Ivory Coast, including but not limited to a valid trade license from the Abidjan Chamber of Commerce and Industry, and compliance with the Ivorian tax authority (Direction Générale des Impôts).
7. Any modifications to this Purchase Order, including changes in quantity, delivery schedule, or scope of services, must be made in writing and signed by both the Politician's authorized representative and the vendor's authorized signatory. Verbal agreements shall not be binding.
8. The vendor shall maintain full confidentiality regarding the contents of this Purchase Order and any associated political or legislative activities of the Honorable Politician. Unauthorized disclosure of procurement details to third parties in Abidjan or elsewhere in Ivory Coast shall constitute a material breach of this agreement.
9. This Purchase Order becomes effective upon signature by both parties and shall remain valid until all obligations have been fulfilled or until 15 July 2025, whichever comes first. If any line item is not delivered by the stated deadline, the Politician's office may, at its discretion, cancel the affected line item and seek alternative procurement from another vendor in Abidjan.
