- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Morocco, specifically the Moroccan Public Procurement Code (Code des Marchés Publics) and applicable regulations of the Casablanca urban municipality.
- Payment Terms: Payment shall be made within thirty (30) calendar days of receipt of a valid invoice and confirmed delivery of all goods and services listed herein. Payment shall be processed via bank transfer to the supplier's designated account in Moroccan Dirhams (MAD). A 5% retention shall be withheld until final acceptance of all deliverables by the Politician's office.
- Delivery and Acceptance: All goods must be delivered to the primary office of the Honorable Politician at 42 Boulevard Mohammed V, Casablanca, or to the 12 designated distribution locations as specified. The Politician's designated procurement officer shall inspect all items within five (5) business days of delivery. Non-conforming items must be replaced or corrected at the supplier's sole expense within ten (10) business days.
- Intellectual Property: All designs, artwork, video content, and digital assets created specifically for the Politician under this Purchase Order shall remain the exclusive property of the Politician's office. The supplier grants a perpetual, irrevocable license for the Politician to use, reproduce, and distribute all such materials in connection with political activities in Casablanca and throughout Morocco.
- Compliance and Ethics: The supplier warrants that all services and goods provided under this Purchase Order comply with Moroccan electoral law, political finance regulations, and the ethical standards set forth by the Independent General Electoral Commission (CNE) of Morocco. The Politician's office reserves the right to audit the supplier's compliance records upon reasonable notice.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding the terms, pricing, and strategic content of this Purchase Order. No information shall be disclosed to third parties without the prior written consent of the Politician's office, except as required by Moroccan law or regulatory authority.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or civil unrest in Casablanca or the broader Moroccan territory.
- Dispute Resolution: Any dispute arising from this Purchase Order shall first be subject to good-faith negotiation between the parties. If unresolved within thirty (30) days, the dispute shall be referred to the competent commercial court of Casablanca, Morocco.
- Amendments: No modification to this Purchase Order shall be valid unless executed in writing and signed by both the Politician's authorized representative and the supplier's legal representative.
