- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia, including the Saudi Commercial Transactions Law and the regulations of the Saudi Public Procurement Authority (NAPA).
- Payment Terms: Payment shall be made within thirty (30) calendar days of receipt of a valid tax invoice from the Supplier. All payments shall be processed via bank transfer to the Supplier’s designated account in a Saudi Arabian financial institution. The Politician’s Administrative Secretariat reserves the right to withhold payment for any deliverable that does not meet the specifications outlined in this Purchase Order.
- Delivery and Performance: All goods shall be delivered to the Politician’s office at King Fahd Road, Al Olaya District, Riyadh, Saudi Arabia. Services shall be rendered in accordance with the timelines specified in Section 2. The Supplier acknowledges that the Politician’s public duties in Riyadh may require schedule adjustments, and both parties agree to negotiate in good faith for any necessary modifications.
- Compliance: The Supplier warrants that all goods and services shall comply with Saudi Arabian standards (SASO), data protection regulations, and any applicable directives issued by the Riyadh Municipality. The Supplier shall not disclose any information pertaining to the Politician’s official business to third parties without prior written authorization from the Administrative Secretariat.
- Warranty and Defects: All physical goods are covered by a minimum twelve (12) month warranty from the date of delivery. The Supplier shall replace or repair any defective items at no additional cost to the Politician’s office within fourteen (14) days of notification.
- Termination: Either party may terminate this Purchase Order with thirty (30) days’ written notice. In the event of termination, the Politician’s office shall be liable only for goods delivered and services rendered up to the effective date of termination.
- Dispute Resolution: Any dispute arising from this Purchase Order shall first be subject to amicable negotiation. Failing resolution within thirty (30) days, the matter shall be referred to the competent courts in Riyadh, Kingdom of Saudi Arabia.
- Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to acts of government, natural disasters, or public health emergencies as declared by the Kingdom of Saudi Arabia.
