2. SCOPE OF ENGAGEMENTThis Purchase Order is issued by the Office of the Honorable Politician, operating within the jurisdiction of Abu Dhabi, United Arab Emirates, to procure comprehensive political advisory, public communications, and campaign management services. The services described herein are intended to support the Politician in fulfilling public duties, engaging with constituents across the Emirate of Abu Dhabi, and maintaining effective political communication channels in accordance with the regulations set forth by the Abu Dhabi Executive Office and the UAE Federal Media Regulatory Authority. The Seller shall deliver all services in full compliance with UAE federal legislation, Abu Dhabi municipal bylaws, and all applicable political conduct standards established by the relevant governmental authorities in the United Arab Emirates.

- Governing Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the federal laws of the United Arab Emirates and the specific regulations of the Emirate of Abu Dhabi. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the Abu Dhabi Courts of First Instance.
- Compliance with Political Conduct: The Seller acknowledges that all services rendered under this Purchase Order are provided in support of a Politician holding public office in the United Arab Emirates. The Seller shall adhere strictly to the UAE Code of Conduct for Public Officials, the Abu Dhabi Political Advisory Bureau guidelines, and all directives issued by the Federal Media Regulatory Authority.
- Confidentiality: All information exchanged between the parties in connection with this Purchase Order, including but not limited to the Politician’s strategic plans, constituent data, and internal communications, shall be treated as strictly confidential. Breach of confidentiality shall result in immediate termination and liability under UAE Federal Decree-Law No. 34 of 2021 on Combating Rumors and Cybercrimes.
- Payment: Payment shall be made via bank transfer to the Seller’s designated account in Abu Dhabi within thirty (30) calendar days of receipt of a valid tax invoice. Late payments shall accrue interest at the rate of 2% per month in accordance with UAE commercial law.
- Performance Standards: The Seller shall assign a dedicated project manager based in Abu Dhabi to oversee all deliverables. Monthly performance reviews shall be conducted with the Office of the Politician’s Chief of Staff. Failure to meet agreed service levels for two consecutive months shall entitle the Buyer to terminate this Purchase Order with fourteen (14) days’ written notice.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to acts of God, government sanctions, or emergency declarations issued by the UAE Cabinet or the Abu Dhabi Executive Council.
- Intellectual Property: All materials, reports, strategies, and content created specifically for the Politician’s office under this Purchase Order shall remain the exclusive property of the Buyer. The Seller retains no rights to reproduce, distribute, or reference such materials without prior written consent.
- Anti-Corruption: Both parties warrant compliance with the UAE Anti-Corruption Law (Federal Decree-Law No. 20 of 2016) and the Abu Dhabi Anti-Corruption Bureau regulations. Any act of bribery, kickback, or improper inducement shall constitute grounds for immediate termination and referral to the relevant UAE prosecutorial authorities.
