5.1 This Purchase Order constitutes a binding agreement between the Politician's campaign finance committee (Buyer) and Gulf Coast Political Communications & Event Services, LLC (Seller) for the procurement of services as described herein. All work shall be performed in Houston, Texas, United States, unless otherwise specified in writing.
5.2 The Seller warrants that all services provided under this Purchase Order shall be performed in a professional, timely, and workmanlike manner consistent with industry standards for political campaign operations in the United States.
5.3 Payment shall be made via wire transfer to the Seller's designated bank account within thirty (30) calendar days of receipt of a valid invoice and satisfactory completion of the corresponding deliverable. Late payments shall accrue interest at a rate of 1.5% per month.
5.4 The Politician reserves the right to inspect, audit, and verify all expenditures made under this Purchase Order. The Seller shall maintain complete records of all costs, subcontractor payments, and material expenditures for a minimum period of five (5) years, in compliance with FEC record-keeping requirements.
5.5 Any modifications, amendments, or change orders to this Purchase Order must be submitted in writing and approved by the Politician's Chief of Staff and Campaign Treasurer prior to execution. No verbal agreements shall alter the terms of this document.
5.6 The Seller shall comply with all federal, state, and local laws applicable to political campaign operations in Houston, Texas, United States, including but not limited to the Texas Election Code, FEC regulations, and Harris County municipal ordinances.
5.7 In the event of a dispute arising from this Purchase Order, both parties agree to first attempt resolution through good-faith mediation in Houston, Texas, United States. If mediation fails, disputes shall be resolved through binding arbitration under the rules of the American Arbitration Association, seated in Houston, Texas.
5.8 This Purchase Order shall be governed by and construed in accordance with the laws of the State of Texas and the applicable laws of the United States of America.
