Terms and Conditions
- Acceptance: This Purchase Order constitutes a binding offer. The vendor's acceptance of this Purchase Order shall be confirmed in writing within five (5) business days of issuance. Failure to confirm within this period shall render this Purchase Order null and void.
- Delivery: All goods and services referenced in this Purchase Order must be delivered to the specified address in United States Los Angeles, California, no later than the Requested Delivery date. Late delivery beyond ten (10) business days entitles the Buyer to cancel this Purchase Order without penalty.
- Quality Assurance: All printed materials, video content, and merchandise must conform to the Politician's approved brand guidelines. The Buyer reserves the right to reject any item that does not meet the specified standards. Rejected items must be replaced at the vendor's sole expense within seven (7) business days.
- Payment: Payment shall be made via U.S. Treasury check or electronic funds transfer (EFT) within thirty (30) days of receipt of a correct invoice and satisfactory delivery of all goods and services. The Politician's office is not liable for interest or late fees on payments processed within the stated Net 30 window.
- Compliance: The vendor acknowledges that this Purchase Order is subject to all applicable federal, state, and local laws governing political office expenditures in the United States. The vendor shall comply with the Federal Election Campaign Act (FECA), California Political Reform Act, and all applicable Los Angeles municipal regulations.
- Confidentiality: The vendor agrees to maintain strict confidentiality regarding the Politician's communications, constituent data, and internal office matters. Any breach of this clause shall result in immediate termination of this Purchase Order and potential legal action.
- Warranty: All physical goods carry a minimum twelve (12) month warranty against defects in materials and workmanship. The vendor shall repair or replace defective items at no additional cost to the Buyer.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of California and the federal laws of the United States. Any disputes shall be resolved in the Superior Court of Los Angeles County, United States Los Angeles, California.
- Amendments: No modification, amendment, or cancellation of this Purchase Order shall be valid unless made in writing and signed by both the Politician's authorized representative and the vendor's authorized representative.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from acts of God, natural disasters, government actions, or other events beyond reasonable control, provided that the affected party notifies the other within forty-eight (48) hours.
