- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Victoria, Australia Melbourne, and the Commonwealth of Australia. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Victoria.
- Independent Contractor Status: The Professor is engaged as an independent contractor and not as an employee of the University of Melbourne. The Professor is responsible for their own tax obligations, superannuation contributions, and professional indemnity insurance in accordance with Australian legislation.
- Payment Schedule: Payment shall be made in three (3) equal instalments: 40% upon execution of this Purchase Order, 35% upon completion of the seminar series and workshop (Item 1 and Item 3), and 25% upon final delivery of all remaining deliverables. All payments shall be processed via electronic funds transfer (EFT) to the bank account nominated by the Professor.
- Intellectual Property: All work product, reports, lecture materials, and research outputs created by the Professor specifically under this Purchase Order shall be the intellectual property of the University of Melbourne, subject to a non-exclusive licence retained by the Professor for academic and non-commercial use.
- Confidentiality: The Professor agrees to maintain strict confidentiality regarding all proprietary data, unpublished research, and internal university information accessed during the course of this engagement in Australia Melbourne. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Performance Standards: The Professor shall deliver all services to a standard consistent with their established academic reputation and the expectations of a senior Professor-level engagement. Failure to meet agreed deliverable timelines without prior written approval from the Buyer's Faculty Dean shall constitute a material breach of this Purchase Order.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Professor shall be compensated for all services rendered and deliverables completed up to the date of termination, less any amounts already paid.
- Insurance: The Professor shall maintain professional indemnity insurance with a minimum coverage of AUD $5,000,000 and public liability insurance of AUD $10,000,000 for the duration of this Purchase Order. Certificates of insurance shall be provided to the Buyer prior to the commencement of services.
- Anti-Bribery and Compliance: The Professor warrants compliance with all applicable Australian anti-corruption legislation, including the Criminal Code Act 1995 (Cth), and the University of Melbourne's Code of Conduct for external engagements.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters affecting Australia Melbourne, government-mandated closures, or pandemics, provided that the affected party notifies the other within five (5) business days.
