1. Scope of Purchase Order: This Purchase Order is issued by Professor Eleanor M. Whitfield, Professor of Computational Biology at the University of Sydney, Sydney, Australia, for the procurement of laboratory equipment, office furnishings, and academic services as itemised above. All goods and services shall be delivered to the Professor's designated laboratory and office within the University of Sydney campus, Sydney, NSW 2006, Australia.
2. Delivery and Installation: The supplier, Meridian Scientific Equipment Pty Ltd, shall deliver all items to the specified location in Sydney, Australia, by the dates indicated. Installation, calibration, and commissioning of all laboratory equipment shall be completed within five (5) business days of physical delivery. The Professor's laboratory manager shall be present to sign the delivery and installation certificate.
3. Payment: Payment shall be made within thirty (30) calendar days of receipt of a valid tax invoice from the supplier, in accordance with the University of Sydney's procurement policies and the Australian Government's Payment of Government Debts Act 1999. Payment shall be made via electronic funds transfer (EFT) to the supplier's nominated bank account in Australia.
4. Quality and Compliance: All equipment must comply with applicable Australian Standards (AS/NZS) and the Work Health and Safety Act 2011 (NSW). The Professor reserves the right to reject any item that does not meet the specifications outlined in this Purchase Order or that fails to meet Australian regulatory requirements.
5. Warranty: All equipment shall carry a minimum manufacturer's warranty of twenty-four (24) months from the date of installation in Sydney. The annual maintenance contract (Item 6) shall cover all routine servicing, parts, and labour for the duration of the contract period.
6. Cancellation and Amendment: This Purchase Order may be amended or cancelled in writing by the Professor or the University's Procurement Office. Cancellation of items not yet manufactured or ordered by the supplier shall be subject to a 10% administrative fee. All amendments must be approved in writing by both parties.
7. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of New South Wales, Australia. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Sydney, Australia.
8. Intellectual Property: All software licences and academic journal subscriptions procured under this Purchase Order are for the exclusive use of the Professor and her research team at the University of Sydney, Sydney, Australia. Redistribution or transfer to third parties is strictly prohibited.
