4.3 Payment Terms: Payment shall be made in three (3) equal installments of R$ 41,244,00 (BRL) via bank transfer (TED/PIX) to the account designated by the Professor. Installments are due on 15 September 2025, 15 November 2025, and 20 December 2025. Late payments shall accrue interest at the rate of 1% per month, in accordance with Brazilian federal procurement regulations (Lei nº 14.133/2021).

4.4 Intellectual Property: All course materials, lecture notes, and research outputs produced by the Professor under this Purchase Order shall be jointly owned by the Professor and the Universidade Federal do Rio de Janeiro. The Professor retains the right to publish research findings, provided the institution is acknowledged as the funding body.

4.5 Cancellation and Termination: Either party may terminate this Purchase Order with a written notice of thirty (30) days. In the event of early termination, the Professor shall be compensated for all services rendered up to the date of termination, prorated on a monthly basis.

4.6 Compliance: The Professor warrants full compliance with all applicable Brazilian federal, state (Rio de Janeiro), and municipal regulations governing academic employment, tax obligations (including INSS and IRPF withholdings), and data protection under the Brazilian General Data Protection Law (LGPD – Lei nº 13.709/2018).

4.7 Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federative Republic of Brazil, with jurisdiction vested in the courts of Rio de Janeiro, RJ, Brazil.
