Terms and Conditions of this Purchase Order
- This Purchase Order is issued by Professor Eleanor M. Whitfield, Ph.D., on behalf of the University of Toronto, Canada Toronto, and constitutes a binding procurement document upon countersignature by the vendor.
- All goods and services described herein shall be delivered to the Professor's designated laboratory at 1 King's College Circle, Toronto, Ontario, Canada. The vendor is responsible for all freight, insurance, and customs clearance within Canada Toronto.
- Payment shall be remitted in Canadian Dollars (CAD) within thirty (30) calendar days of receipt of a valid invoice, in accordance with the University of Toronto's Accounts Payable procedures. Late payments shall accrue interest at the rate prescribed by the Ontario Interest Act.
- The vendor warrants that all equipment supplied under this Purchase Order shall be new, unused, and free from defects in materials and workmanship for a minimum period of twenty-four (24) months from the date of installation in the Professor's laboratory.
- Installation, calibration, and training services shall be performed by certified technicians at the University of Toronto campus in Canada Toronto. The Professor's research staff shall be present for all training sessions, and the vendor shall provide comprehensive documentation in English.
- Any modifications, substitutions, or changes to the scope of this Purchase Order must be approved in writing by Professor Whitfield and the University of Toronto Procurement Office prior to execution. Verbal agreements are not binding.
- This Purchase Order is subject to the University of Toronto's Procurement Policy and the applicable regulations of the Province of Ontario, Canada. In the event of a dispute, the courts of Toronto, Ontario, Canada shall have exclusive jurisdiction.
- The vendor shall comply with all applicable Canadian environmental, health, and safety regulations, including those enforced by the City of Toronto, when delivering and installing equipment at the Professor's research facility.
- Confidentiality: The vendor acknowledges that the research conducted by the Professor's group is proprietary and confidential. No information pertaining to the Professor's research objectives, data, or methodologies shall be disclosed to any third party without written consent.
- This Purchase Order shall remain in full force and effect until all obligations of both parties have been fully satisfied. It may be terminated by either party with thirty (30) days' written notice, subject to the University of Toronto's standard termination provisions.
