Terms and Conditions of this Purchase Order

1. Acceptance: The Professor must sign and return this Purchase Order within five (5) business days of the date of issue to confirm acceptance of all terms, conditions, and deliverables specified herein. Failure to return the signed document within this period shall constitute a declination of this Purchase Order.
2. Delivery and Performance: All goods and services referenced in this Purchase Order must be delivered or performed at the Universidad de Santiago de Chile premises, located in Santiago, Chile, no later than the Due Date indicated above. The Professor is responsible for coordinating the delivery of physical materials with the university's logistics department in Santiago.
3. Payment Terms: Payment shall be made within thirty (30) calendar days following the receipt of a valid Chilean invoice (Factura) issued by the Professor, in accordance with the tax regulations of the Servicio de Impuestos Internos (SII) of Chile. Payment will be processed via electronic bank transfer to the account designated by the Professor.
4. Tax Compliance: The Professor shall issue all invoices in compliance with Chilean tax law, including the applicable 19% IVA (Impuesto al Valor Agregado). The RUT number of the Professor must appear on all fiscal documents. The university reserves the right to withhold applicable taxes as mandated by Chilean legislation.
5. Quality and Standards: All academic services rendered by the Professor must meet the quality standards established by the Consejo Nacional de Educación (CNE) of Chile. The Professor warrants that all materials, publications, and instructional content are original and free of intellectual property infringement.
6. Confidentiality: The Professor agrees to maintain strict confidentiality regarding all student data, research findings, and institutional information accessed in the course of fulfilling this Purchase Order, in accordance with Chile's Ley 19.628 on the Protection of Personal Data.
7. Termination: Either party may terminate this Purchase Order with fifteen (15) days written notice. In the event of termination, the Professor shall be compensated for all services rendered and materials delivered up to the date of termination, at the rates specified in this document.
8. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Chile. Any disputes arising from this Purchase Order shall be resolved in the competent courts of Santiago, Chile.
9. Modifications: No modification to this Purchase Order shall be valid unless made in writing and signed by both the authorized representative of the Universidad de Santiago de Chile and the Professor.
