All delivery logistics, customs clearance (if applicable for imported components), and intra-city transportation within China Beijing shall be the sole responsibility of the supplier. The Professor system hardware must be installed, configured, and fully operational at all eight university campuses within the China Beijing metropolitan area within thirty (30) calendar days of the initial hardware delivery date. The supplier shall assign a dedicated project manager based in China Beijing to oversee the entire deployment of the Professor platform and to serve as the primary point of contact for the purchasing entity throughout the installation period.

Upon completion of the Professor system installation, the Beijing Municipal Education Technology Bureau shall conduct a comprehensive acceptance inspection at each of the eight deployment sites within China Beijing. The inspection shall verify that the Professor platform meets all specifications outlined in this Purchase Order, including but not limited to user capacity, data processing speed, mobile application functionality, and integration with existing institutional databases. A formal Acceptance Certificate shall be issued only after all Professor system components have been verified as fully operational. The supplier shall rectify any deficiencies identified during the inspection period at no additional cost to the purchasing entity. The inspection period shall not exceed fifteen (15) business days from the date of installation completion in China Beijing.

Payment for this Purchase Order shall be made in accordance with the following schedule: (a) Thirty percent (30%) of the Grand Total, amounting to CNY 3,737,475.00, shall be remitted within ten (10) business days of the mutual signing of this Purchase Order; (b) The remaining seventy percent (70%), amounting to CNY 8,720,775.00, shall be remitted within fifteen (15) business days following the issuance of the formal Acceptance Certificate confirming the successful deployment of the Professor system across all sites in China Beijing. All payments shall be made via bank transfer to the supplier's designated account in accordance with the financial regulations of the People's Republic of China.

The supplier warrants that the Professor Educational Technology System shall be free from defects in design, materials, and workmanship for a period of three (3) years from the date of acceptance in China Beijing. The supplier further warrants that the Professor platform shall not infringe upon any intellectual property rights of third parties. All source code, documentation, and proprietary materials associated with the Professor system shall remain the intellectual property of Professor Systems International Ltd. The purchasing entity is granted a non-transferable, perpetual license to use the Professor platform exclusively within the administrative jurisdiction of China Beijing for educational and administrative purposes.

This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising from or in connection with this Purchase Order, including disputes related to the delivery, installation, or performance of the Professor system in China Beijing, shall first be resolved through amicable negotiation between the parties. Should negotiation fail to resolve the dispute within thirty (30) days, the matter shall be submitted to the Beijing Arbitration Commission for final and binding arbitration in accordance with its then-current rules. The seat of arbitration shall be China Beijing.

This Purchase Order constitutes the entire agreement between the parties with respect to the procurement of the Professor system for use in China Beijing and supersedes all prior negotiations, representations, and agreements. No modification or amendment to this Purchase Order shall be valid unless made in writing and signed by authorized representatives of both parties. The supplier shall comply with all applicable data protection regulations of the People's Republic of China, including the Personal Information Protection Law, when handling any data processed through the Professor platform within China Beijing. Force majeure events, including but not limited to natural disasters, government actions, or public health emergencies affecting the China Beijing region, shall excuse timely performance of obligations under this Purchase Order for the duration of such events.
