• Payment shall be made in three (3) equal installments via bank transfer to the account specified in Section 1.
• First installment (33%): Due within fifteen (15) business days of the execution of this Purchase Order, amounting to CNY 168,253.80.
• Second installment (33%): Due upon completion of the curriculum design project and delivery of the first six (6) guest lectures, amounting to CNY 168,253.80.
• Third installment (34%): Due upon final acceptance of all deliverables and submission of the final project report, amounting to CNY 173,352.40.
• All payments are subject to the Purchasing Institution's standard invoice verification process. The Professor must submit a valid invoice (fapiao) to the Finance Department of the Guangzhou Provincial University of Science and Technology prior to each payment cycle.
• Late payments beyond the stipulated period shall incur an interest charge of 0.05% per calendar day on the outstanding balance.

• The Professor agrees to dedicate a minimum of twenty (20) hours per week to the services outlined in this Purchase Order during the contract period of July 1, 2025, through June 30, 2026.
• All intellectual property generated specifically under the scope of this Purchase Order shall be jointly owned by the Professor and the Guangzhou Provincial University of Science and Technology, as stipulated in the separate Intellectual Property Agreement (IPA-GZ-2025-031).
• The Professor shall comply with all applicable laws and regulations of the People's Republic of China, including but not limited to the Higher Education Law, the Science and Technology Progress Law, and relevant data protection statutes applicable in Guangzhou and Guangdong Province.
• Confidentiality: The Professor shall maintain strict confidentiality regarding all proprietary research data, unpublished findings, and internal institutional documents accessed during the course of this engagement. This obligation survives the termination of this Purchase Order for a period of five (5) years.
• Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Professor shall be compensated for all services rendered up to the date of termination, less any applicable deductions.
• Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through amicable negotiation. Failing resolution within sixty (60) days, the matter shall be submitted to the Guangzhou International Arbitration Center for binding arbitration in accordance with its rules of procedure.
• Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of China.

This Purchase Order becomes effective upon the written acceptance and signature of both parties. The Professor acknowledges receipt of this Purchase Order and confirms that the terms, scope of services, and financial arrangements set forth herein are acceptable and agreed upon. The Professor further confirms that all information provided in Section 1 is accurate and current as of the date of signature.
