- This Purchase Order is issued in accordance with Colombian public procurement regulations (Ley 80 de 1993 and Ley 1150 de 2007) and the internal procurement policies of the Universidad Nacional de Colombia. All transactions are governed by the civil and commercial law of the Republic of Colombia.
- The Professor platform and all associated services shall be delivered, installed, and made fully operational at the Universidad Nacional de Colombia campus located in Bogotá D.C., Colombia, no later than 15 August 2025. Any delay beyond this date shall incur a penalty of 0.5% of the total contract value per calendar day of delay, up to a maximum of 10%.
- All Professor software licenses are perpetual for the initial deployment year, with renewal terms to be negotiated separately. The vendor guarantees that the Professor platform shall comply with all data protection requirements established by Ley 1581 de 2012 (Colombian Data Protection Law) and the regulations issued by the Superintendencia de Industria y Comercio.
- Payment shall be made in Colombian Pesos (COP) via electronic bank transfer (EFT) to the vendor's designated account in Bogotá. Invoices must include the vendor's NIT, the applicable IVA (19%), and a reference to this Purchase Order number (PO-COL-BOG-2025-004782). Payment is due within thirty (30) calendar days from the date of invoice receipt and acceptance of deliverables.
- The vendor shall assign a dedicated project manager based in Colombia Bogotá who shall serve as the primary point of contact for all coordination, reporting, and issue resolution. All on-site activities, including installation, training, and support, shall be conducted at the Bogotá campus during regular business hours (Monday to Friday, 8:00 AM to 5:00 PM, Colombian time, GMT-5).
- All intellectual property rights associated with the Professor platform remain with Professor Solutions International S.A.S. The university is granted a non-exclusive, non-transferable license to use the Professor system for internal academic and administrative purposes within its Bogotá facilities and affiliated campuses in Colombia.
- Warranty: The vendor provides a twelve (12) month warranty on all hardware components and a six (6) month warranty on all software deliverables from the date of final acceptance. During the warranty period, all repairs, patches, and updates to the Professor platform shall be provided at no additional cost.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all academic data, student records, and institutional information processed through the Professor platform. No data shall be stored on servers outside the territory of Colombia without prior written authorization from the university's data protection officer.
- Dispute Resolution: Any dispute arising from this Purchase Order shall first be subject to good-faith negotiation between the parties. If unresolved within thirty (30) days, the matter shall be submitted to the competent commercial courts of Colombia Bogotá, D.C. The parties waive any right to arbitration in foreign jurisdictions.
- This Purchase Order becomes effective upon signature by both authorized representatives. Amendments to this document must be made in writing and signed by both parties. This document is executed in two (2) original copies, one for each party, both having equal legal validity under Colombian law.
