  1. Commencement and Duration: The Professor's engagement under this Purchase Order shall commence on 1 September 2025 and conclude on 28 February 2026, aligning with the Egyptian academic year. All services must be rendered at the Alexandria University campus or at approved off-site locations within Egypt Alexandria as specified in the line items above.
  2. Payment Terms: Payment shall be made in three equal installments of EGP 160,740.00 each, due within 30 days of the end of each academic quarter (October 2025, January 2026, and February 2026). Payment shall be processed via bank transfer to the Professor's designated account at the National Bank of Egypt, Alexandria Branch.
  3. Intellectual Property: All research outputs, lecture materials, workshop content, and the strategic roadmap produced under this Purchase Order shall be jointly owned by Alexandria University and the Professor. The Professor retains the right to publish individual research findings, provided that the university is acknowledged as the primary institutional affiliation.
  4. Compliance with Egyptian Law: This Purchase Order is governed by the laws of the Arab Republic of Egypt, including the Egyptian Civil Code, the Higher Education Law No. 4 of 1995 (as amended), and the regulations of the Egyptian Ministry of Higher Education and Scientific Research. The Professor shall comply with all visa, work permit, and tax obligations applicable in Egypt Alexandria.
  5. Performance Standards: The Professor is expected to maintain a minimum student evaluation score of 4.2 out of 5.0. Failure to meet this standard for two consecutive evaluation cycles shall entitle the university to issue a formal notice of concern and, if unresolved, to terminate this Purchase Order with 30 days' written notice.
  6. Confidentiality: The Professor shall treat all proprietary university data, unpublished research, and student records as strictly confidential. This obligation survives the termination of this Purchase Order for a period of five (5) years.
  7. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to government-mandated closures, natural disasters, or public health emergencies affecting Egypt Alexandria.
  8. Dispute Resolution: Any dispute arising from this Purchase Order shall first be subject to good-faith negotiation. If unresolved within 30 days, the matter shall be referred to the Alexandria Commercial Court in accordance with Egyptian procedural law.

This Purchase Order has been reviewed and approved by the undersigned authorized representatives of Alexandria University. The Professor's acceptance of the terms herein constitutes a binding agreement for the services described. A copy of this Purchase Order shall be retained in the university's procurement records and a signed copy shall be provided to the Professor for their files.
